The Operating Agreement is simply an <br />agreement between the members of the LLC. <br /> <br />An LLC is created by preparing and filing an Articles of Organization document with the state where the <br />LLC will operate. <br /> <br />Why does this agreement refer to 'two or more Members' when I am the sole Member and no new <br />Members can be added? <br />Even though your current intention is for only one member, it is possible in future to amend this LLC <br />Operating Agreement to allow more members, instead of having to start a new LLC which could have <br />adverse tax affects. Instead of omitting those clauses that are relevant only to LLC's with two or more <br />members, we have tried to include those clauses in the final document so that you are aware of the issues <br />that need to be addressed. <br /> <br />What is a Tax Matters Partner? <br />The Tax Matters Partner (Member) is the Member selected by the LLC to represent the company to the <br />Internal Revenue Service and to make decisions on behalf of the LLC concerning taxation issues.
