GENERAL NOTES:
1. The items listed here are the minimum regulations applicable to work for 1 or 2 family
dwellings.
2. These requirements shall NOT supersede more restrictive specifications on the approved
plans or as required by applicable codes and/or other regulations.
3. Protection of wood and wood based products from decay shall be provided in the following
locations by the use of naturally durable wood or wood that is preservative-treated in
accordance with AWPA U1. (CRC R317.1)
a. In crawl spaces or unexcavated areas located within the periphery of the building
foundation, wood joists or the bottom of a wood structural floor where closer than 18
inches to exposed ground, wood girders where closer than 12 inches to exposed ground,
and wood columns where closer than 8 inches to exposed ground.
b. Wood framing members, including columns, that rest directly on concrete or masonry
exterior foundation walls and are less than 8 inches from exposed ground.
c. Sills and sleepers on a concrete or masonry slab that is in direct contact with the ground
unless separated from such slab by an impervious moisture barrier.
d. The ends of girders entering exterior masonry or concrete walls having clearances of less
than ½ inch on tops, sides and ends.
e. Wood siding, sheathing and wall framing on the exterior of a building having a clearance
of less than 6 inches from the ground or less than 2 inches measured vertically from
concrete steps, porch slabs, patio slabs and similar horizontal surfaces exposed to the
weather.
f. Wood structural members supporting moisture-permeable floors or roofs that are exposed
to the weather, such as concrete or masonry slabs, unless separated from such floors or
roofs by an impervious moisture barrier. The impervious moisture barrier system protecting
the structure supporting floors shall provide positive drainage of water that infiltrates the
moisture-permeable floor topping.
g. Wood furring strips or other wood framing members attached directly to the interior of
exterior masonry walls or concrete walls below grade except where an approved vapor
retarder is applied between the wall and the furring strips or framing members.
h. Portions of wood structural members that form the structural supports of buildings,
balconies, porches or similar permanent building appurtenances where those members
are exposed to the weather without adequate protection from a roof, eave, overhang or
other covering that would prevent moisture or water accumulation on the surface or at
joints between members.
EXCEPTION: Sawn lumber used in buildings located in a geographical region where
experience has demonstrated that climatic conditions preclude the need to use
naturally durable or preservative-treated wood where the structure is exposed to the
weather.
i. Wood columns in contact with basement floor slabs unless supported by concrete piers or
metal pedestals projecting not less than 1 inch above the concrete floor and separated
from the concrete pier by an impervious moisture barrier.
4. Field-cut ends, notches and drilled holes of preservative-treated wood shall be treated in
the field in accordance with AWPA M4. (CRC R317.1.1)
5. All wood in contact with the ground, embedded in concrete in direct contact with the
ground or embedded in concrete exposed to the weather that supports permanent
structures intended for human occupancy shall be approved pressure-preservative-treated
wood suitable for ground contact use, except that untreated wood used entirely below
groundwater level or continuously submerged in fresh water shall not be required to be
pressure-preservative treated. (CRC R317.1.2)
6. Exterior coverings shall comply with Section R703.
7. Exterior walls shall provide the building with a weather-resistant exterior wall envelope.
The exterior wall envelope shall include flashing as described in Section R703.4. (CRC
R703.1)
8. Exterior plaster (stucco) wall assemblies shall comply with Section R703.7 and shall
include a weep screed and water resistive barrier as follows (CRC R703.7.2.1 &
R703.7.3):
a. Weep Screed: A minimum 0.019-inch (No. 26 galvanized sheet gage), corrosion-resistant
weep screed or plastic weep screed, with a minimum vertical attachment flange of 3 1
2
inches, shall be provided at or below the foundation plate line on exterior stud walls in
accordance with ASTM C926. The weep screed shall be placed not less than 4 inches
above the earth or 2 inches above paved area and shall be of a type that will allow trapped
water to drain to the exterior of the building. The weather-resistant barrier shall lap the
attachment flange. The exterior lath shall cover and terminate on the attachment flange of
the weep screed.
b. Water-Resistive Barriers: Water-resistive barriers shall be installed as required in Section
R703.2 and, where applied over wood-based sheathing, shall comply with Section
R703.7.3.1 or R703.7.3.2.
GENERAL CONSTRUCTION NOTES:
1. Prior to the start of construction, the contractor shall visit the project site and conduct a
field review and shall notify the architect/engineer or owner of any discrepancies and/or
conditions in the contractor's opinion that should be modify in order to complete the project
in a proper manner.
2. Prior to the start of construction, owner and/or contractor shall verify any easements and
obtain any required clearances, approvals and/or permits from the jurisdiction having
authority. Designers shall be notified where any changes to the design is required before
the start of work.
3. Prior to the start of construction, owner and/or contractor shall obtain any required
clearances, approvals and/or permits from the jurisdiction having authority and/or the
appropriate power company as required with regard to construction work in the proximity
of existing and/or new power poles. Designers shall be notified where any changes to the
design is required before the start of work.
4. Prior to the start of any landscape work and/or the removal/relocation of any existing trees,
owner and/or contractor shall obtain any required clearances, approvals and/or permits
from the jurisdiction having authority. Designers shall be notified where any changes to the
design is required before the start of work.
5. Contractor shall verify dimensions before the start of any construction and make any
necessary adjustments and align with existing framing as indicated on the plan regardless
of dimensions noted and report any discrepancies to the architect/engineer or owner prior
to construction.
6. Dimensions shown on plans are for general reference use only. Owner and/or contractor
shall obtain the services of a licensed surveyor for situations where needed and required.
7. Where indicated on the plan for wall removal, the contractor shall verify and confirm the
joist bearing directions at the project site and shall notify the architect/engineer or owner of
any discrepancies before any wall removal.
8. Where indicated on the plan for wall removal, any electrical or plumbing in that wall shall
be relocated as necessary (unless noted otherwise).
9. Where indicated on the plan for wall removal, the floor and ceiling areas shall be repaired
and finish smooth to match the existing areas.
10. Prior to placing order of windows and doors, the contractor shall verify all windows and
door sizes and shall notify the architect/engineer or owner of any discrepancies.
11. Prior to placing order of windows, skylights and doors, the contractor shall verify the brand
and type with the owner.
12. If specific conditions are not detailed, then their construction shall follow standard
construction practices.
MECHANICAL:
1. All mechanical equipment shall be installed per the manufacturer’s installation instructions.
(CMC 303.1)
2. Environmental air duct exhaust shall terminate not less than 3 feet from a property line, 10
feet from a forced air inlet, 10 feet above a public walkway, and 3 feet from openings into
the building. The discharge of environmental exhaust ducts shall not be directed onto a
public walkway. (CMC 502.2.1)
3. Each bathroom containing a bathtub, shower or tub/shower combination shall be
mechanically ventilated for purposes of humidity control in accordance with the California
Mechanical Code, Chapter 4; and the California Green Building Standards Code, Chapter
4, Division 4.5. Each bathroom required to be mechanically ventilated, shall comply with
the following: (CRC R303.3.1 & CGBSC 4.506.1)
a. Fans shall be ENERGY STAR compliant and be ducted to terminate outside the building.
b. Unless functioning as a component of a whole house ventilation system, fans must be
controlled by a humidity control.
c. Minimum exhaust rate of 50 cfm.
ELECTRICAL:
1. Access and working space shall be provided and maintained about all electrical equipment
to permit ready and safe operation and maintenance of such equipment. (CEC 110.26)
2. In general, service equipment and sub-panels to have a minimum 30 inch by 36 inch clear
work space on a level surface with 78 inch clear height. (CEC 110.26(A))
3. Electrical panels are not allowed to be located in bathrooms or clothes closets. (CEC
240.24(D) & (E))
4. Ground fault circuit interrupter (GFCI) protection shall be provided at all receptacle outlets
in bathrooms, garages, outdoor areas, crawl spaces, basements, kitchens where the
receptacles are installed to serve the countertop surfaces, sinks where receptacles are
installed within 6 feet from the top inside edge of the bowl of the sink, boathouses, laundry
areas. (CEC 210.8)
5. For one-and two-family dwellings, and multifamily dwellings, at least one receptacle outlet
shall be installed in areas specified in 210.52(G)(1) through (G)(3). These receptacles
shall be in addition to receptacles required for specific equipment. (CEC 210.52(G))
(1)Garages. In each attached garage and in each detached garage with electrical
power, at least one receptacle outlet shall be installed in each vehicle bay and not
more than 5-1/2 feet above the floor. (CEC 210.52(G)(1))
EXCEPTION: Garages spaces not attached to an individual dwelling unit of a
multifamily dwelling shall not require a receptacle outlet in each vehicle bay.
(2)Accessory Buildings. In each accessory building with electric power.
(CEC 210.52(G)(2))
(3)Basements. In each separate unfinished portion of a basement.
(CEC 210.52(G)(3))
6. Combination type Arc Fault Circuit Interrupter (AFCI) circuit breakers are required for all
120V single phase 15A/20A branch circuits. Except where GFCI circuits are provided.
(CEC 210.12(A))
7. Kitchen countertops 12 inches or wider must have receptacle outlets installed so no point
along the counter wall is more than 24 inches from a receptacle. (CEC 210.52(C))
8. Kitchen island and peninsular countertops shall have at least one receptacle outlet. At
least one receptacle outlet shall be located within 2 feet of the outer end of a peninsular
countertop or work surface. Receptacle outlets shall be located below countertop or works
surfaces: Not more than 12 inches below the countertop or work surface. Receptacles
installed below a countertop or work surface shall not be located where the countertop or
work surface extends more than 6 inches beyond its support base. (CEC 210.52(C))
9. A minimum of one dedicated 20 ampere circuit is required for each bathroom and laundry
room. (CEC 210.11(C)(2)&(3))
10. In bathrooms, a GFCI protected receptacle outlet is required within 3 feet of the edge of
each sink. (CEC 210.52(D))
11. Receptacles shall not be installed within a zone measured 3 feet horizontally and 8 feet
vertically from the top of the bathtub rim or shower stall threshold. The identified zone is
all-encompassing and shall include the space directly over the tub or shower stall. (CEC
406.9(C))
EXCEPTION: In bathrooms with less than the required zone the receptacles(s) shall
be permitted to be installed opposite the bathtub rim or shower stall threshold on the
farthest wall within the room.
12. Receptacles shall be installed such that no point measured horizontally along the floor line
of any wall space is more than 6 feet from a receptacle outlet. (CEC 210.52(A)(1))
13. In dwelling units, hallways of 10 feet or more in length shall have at least one receptacle
outlet. (CEC 210.52(H))
14. Contractor shall verify the exact location of the lighting, switches, receptacles, exhaust
fans and ceiling fans with the owner before installation.
PLUMBING:
1. All Plumbing fixtures and fittings shall comply with the following maximum flowrates:
(CGBSC 4.303.1)

Water Closets 1.28 gallons/flush
Showerheads – single 1.8 gpm @ 80 psi
Showerheads – multiple 1.8 gpm @ 80 psi combined
Lavatory faucets 1.2 gpm @ 60 psi
Kitchen faucets 1.8 gpm @ 60 psi
2. A minimum 24 by 30 inch clear area shall be provided in front of each water closet,
lavatory or similar fixture. No water closet shall be set closer than 15 inches from its center
to a side wall or obstruction. (CPC 402.5)
3. Shower compartments, regardless of shape, shall have a minimum finished interior of
1024 square inches and shall also be capable of encompassing a 30 inch circle. (CPC
408.6)
4. The shower compartment clear dimensions shall be maintained to a point of not less than
70 inches above the shower drain outlet with no protrusions other than the fixture valve or
valves, showerheads, soap dishes, shelves, and safety grab bars, or rails. (CPC 408.6)
5. Bathtub and shower floors and walls above bathtubs with installed shower heads and in
shower compartments shall be finished with a nonabsorbent surface. Such wall surfaces
shall extend to a height of not less than 6 feet above the floor. (CRC R307.2)
6. When located in a garage, appliances and water heater shall be installed so that burners
and burner-ignition devices are located not less than 18 inches above the garage floor.
(CPC 507.13)
7. Water heaters, gas appliances and any other appliances installed in garages, along
driveways or other areas subject to mechanical or vehicle damage shall be guarded
agianst such damage by being installed behind protective barriers or by being elevated or
located out of the normal path of vehicles. (CPC 507.13.1)
8. Water heaters shall be anchored or strapped to resist horizontal displacement due to
earthquake motion. Strapping stall be at points within the upper one third and lower
one-third of its vertical dimensions. At the lower point, a minimum distance of 4 inches
shall be maintained above the controls with the strapping. (CPC 507.2)
SMOKE & CARBON MONOXIDE ALARMS:
1. Smoke alarms complying with UL 217 shall be installed in each sleeping room, outside
each separate sleeping area in the immediate vicinity of the bedrooms, and at each floor
or basement level. (CRC R314)
2. Carbon monoxide alarms shall be listed in accordance with UL 2034. Combination carbon
monoxide and smoke alarms shall be listed in accordance with UL 217 and UL 2034.
(CRC R315.1.1)
3. For existing buildings and new construction, carbon monoxide alarms shall be provided in
dwelling units where either or both of the following conditions exist. (CRC R315.2.1)
1. The dwelling unit contains a fuel-fired appliance or fireplace.
2. The dwelling unit has an attached garage with an opening that communicates with
the dwelling unit.
4. Carbon monoxide alarms in dwelling units shall be installed and maintained in accordance
with the manufacturer's published instructions in the following locations: (CRC R315.3)
1. Outside of each separate sleeping area in the immediate vicinity of the bedrooms.
2. On every occupiable level of a dwelling unit, including basements.
3. Where a fuel-burning appliance is located within a bedroom or its attached
bathroom, a carbon monoxide alarm shall be installed within the bedroom.
5. Combination carbon monoxide and smoke alarms shall be permitted to be used in lieu of
carbon monoxide alarms. (CRC R315.4)
DOORS & EGRESS WINDOWS:
1. At least one egress door shall be provided for each dwelling unit. (CRC R311.2)
2. The required egress door shall be side-hinged, and shall provide a clear width of not less
than 32 inches where measured between the face of the door and the stop, with the door
open 90 degrees. The clear height of the door opening shall be not less than 78 inches in
height measured from the top of the threshold to the bottom of the stop. Egress doors shall
be readily openable from inside the dwelling without the use of a key or special knowledge
or effort. (CRC R311.2)
3. There shall be a landing or floor on each side of each exterior door. The width of each
landing shall be not less than the door served. Landings shall have a dimension of not less
than 36 inches measured in the direction of travel. The slope at exterior landings shall not
exceed 1
4 unit vertical in 12 units horizontal (2 percent). (CRC R311.3)
4. Landings or finished floors at the required egress door shall be not more than 1-1/2 inches
lower than the top of the threshold. (CRC R311.3.1)
EXCEPTION: The landing or floor on the exterior side shall be not more than 7-3/4
inches below the top of the threshold provided that the door does not swing over the
landing or floor.
5. Every sleeping room, basement and habitable attic shall have at least one operable
emergency escape and rescue opening. (CRC R310.1)
6. All emergency escape and rescue openings shall have a minimum clear opening of 5.7
square feet, with a minimum net clear opening height of 24 inches and width of 20 inches.
The bottom of the clear opening shall be a maximum of 44 inches measured from the
floor. (CRC R310.2)
ADDITIONAL NOTES:
1. Mechanical, electrical and plumbing are not part of this plan review and approval. MEP are
subject to building field inspection.
2. Photovoltaic system will be submitted under a separate permit and shall be issued prior to
building frame inspection request.
3. The ADU sf / SFD sf ratio is for Park & Rec fee purpose only. The applicant is responsible
for the given “SFR sf” of the existing primary residence; Building Safety staff are not
responsible for the accuracy of the given “SFR sf”.

FIRE-RESISTANT CONSTRUCTION:
R302.3 Two-family dwellings. Dwelling units in two-family dwellings shall be separated from each
other by wall and floor assemblies having not less than a 1-hour fire-resistance rating where tested in
accordance with ASTM E119, UL 263 or Section 703.2.2 of the California Building Code. Such
separation shall be provided regardless of whether a lot line exists between the two dwelling units or
not. Fire-resistance rated floor/ceiling and wall assemblies shall extend to and be tight against the
exterior wall, and wall assemblies shall extend from the foundation to the underside of the roof
sheathing.
Exceptions:
1. A fire-resistance rating of 1
2 hour shall be permitted in buildings equipped throughout with an
automatic sprinkler system installed in accordance with Section R313.
2. Wall assemblies need not extend through attic spaces where the ceiling is protected by not
less than 5/8-inch Type X gypsum board, an attic draft stop constructed as specified in Section
R302.12.1 is provided above and along the wall assembly separating the dwellings and the
structural framing supporting the ceiling is protected by not less than 1/2-inch gypsum board or
equivalent.
R302.3.1 Supporting construction. Where floor assemblies are required to be fire-resistance rated by
Section R302.3, the supporting construction of such assemblies shall have an equal or greater
fire-resistance rating.
R302.4 Dwelling unit rated penetrations. Penetrations of wall or floor-ceiling assemblies required to
be fire-resistance rated in accordance with Section R302.2 or R302.3 shall be protected in accordance
with this section.
R302.4.1 Through penetrations. Through penetrations of fire-resistance-rated wall or floor assemblies
shall comply with Section R302.4.1.1 or R302.4.1.2.
Exceptions:
1. Where the penetrating items are steel, ferrous or copper pipes, tubes or conduits, the annular
space shall be protected as follows:
1.1. In concrete or masonry wall or floor assemblies, concrete, grout or mortar shall be
permitted where installed to the full thickness of the wall or floor assembly or the thickness
required to maintain the fire-resistance rating, provided that both of the following are
complied with:
1.1.1. The nominal diameter of the penetrating item is not more than 6 inches.
1.1.2. The area of the opening through the wall does not exceed 144 square inches.
1.2. The material used to fill the annular space shall prevent the passage of flame and hot
gases sufficient to ignite cotton waste where subjected to ASTM E119 or UL 263 time
temperature fire conditions under a positive pressure differential of not less than 0.01 inch
of water (3 Pa) at the location of the penetration for the time period equivalent to the
fire-resistance rating of the construction penetrated.
2. The annular space created by the penetration of water-filled fire sprinkler piping, provided that
the annular space is filled using a material complying with Item 1.2 of Exception 1.
R302.4.1.1 Fire-resistance-rated assembly. Penetrations shall be installed as tested in the
approved fire-resistance-rated assembly.
R302.4.1.2 Penetration firestop system. Penetrations shall be protected by an approved
penetration firestop system installed as tested in accordance with ASTM E814 or UL 1479, with
a positive pressure differential of not less than 0.01 inch of water (3 Pa) and shall have an F
rating of not less than the required fire-resistance rating of the wall or floor-ceiling assembly
penetrated.
R302.4.2 Membrane penetrations. Membrane penetrations shall comply with Section R302.4.1.
Where walls are required to have a fire-resistance rating, recessed fixtures shall be installed so that the
required fire-resistance rating will not be reduced.
Exceptions:
1. Membrane penetrations of not more than 2-hour fire-resistance-rated walls and partitions by
steel electrical boxes that do not exceed 16 square inches in area provided that the aggregate
area of the openings through the membrane does not exceed 100 square inches in any 100
square feet of wall area. The annular space between the wall membrane and the box shall not
exceed 1
8 inch. Such boxes on opposite sides of the wall shall be separated by one of the
following:
1.1. By a horizontal distance of not less than 24 inches where the wall or partition is
constructed with individual noncommunicating stud cavities.
1.2. By a horizontal distance of not less than the depth of the wall cavity where the wall
cavity is filled with cellulose loose-fill, rockwool or slag mineral wool insulation.
1.3. By solid fireblocking in accordance with Section R302.11.
1.4. By protecting both boxes with listed putty pads.
1.5. By other listed materials and methods.
2. Membrane penetrations by listed electrical boxes of any materials provided that the boxes
have been tested for use in fire-resistance-rated assemblies and are installed in accordance with
the instructions included in the listing. The annular space between the wall membrane and the
box shall not exceed 1
8 inch unless listed otherwise. Such boxes on opposite sides of the wall
shall be separated by one of the following:
2.1. By the horizontal distance specified in the listing of the electrical boxes.
2.2. By solid fireblocking in accordance with Section R302.11.
2.3. By protecting both boxes with listed putty pads.
2.4. By other listed materials and methods.
3. The annular space created by the penetration of a fire sprinkler or water-filled fire sprinkler
piping, provided that the annular space is covered by a metal escutcheon plate.
4. Ceiling membrane penetrations by listed luminaires or by luminaires protected with listed

ELECTRIC READY NOTES:
Water Heating system (water heater) (Section 150.0(n))
a.Systems using gas or propane water heaters to serve individual dwelling units shall designate a
space at least 2.5 feet by 2.5 feet wide and 7 feet tall suitable for the future installation of a heat
pump water heater (HPWH) by meeting either A or B listed under Section 150.0(n).
A.If the designated space is within 3 feet from the water heater:
i.A dedicated 125 volt, 20 amp electrical receptacle that is connected to the electric panel with a
120/240 volt 3 conductor, 10 AWG copper branch circuit, within 3 feet from the water heater.
ii.Isolate both ends of the unused conductor.
iii.A reserved single pole circuit breaker space in the electrical panel adjacent to the circuit breaker
iv.A condensate drain that allows natural draining of the water heater.
B.If the designated space is more than 3 feet from the water heater: see additional Code
requirements.
b.When a second water heater is installed as part of the addition shall comply with Section
(150.2(a)(D).
Energy Storage System (ESS) Ready: All single-family residences that include one or two dwelling
units, and ADU shall meet the following:
a.At least one of the following shall be provided:
i.ESS ready interconnection equipment [auto transfer switch and panel] with a minimum
backed-up capacity of 60 amps and a minimum of four ESS-supplied branch circuits, or
ii.A dedicated, minimum 1" raceway from the main service to a subpanel that supplies the branch
circuits in Section 150.0(s)(2).
b.A minimum of four branch circuits shall be supplied by the ESS: the refrigerator, one lighting
circuit shall be located near the primary egress, and at least one circuit shall supply a sleeping
room receptacle outlet.
c.The main panelboard shall have a minimum busbar rating of 225 amperes with space to install
future isolation equipment/transfer switch within 3 feet.
Heat pump space heater (furnace) ready: System using gas furnace to serve individual dwelling units
shall include a dedicated 240 volt, minimum 30 amps branch circuit wiring shall be installed within 3-ft
from the furnace for a future heat pump space heater installation.
Electric cooktop ready: System using gas to serve individual dwelling units shall include a dedicated
240 volt, minimum 50 amps circuit wiring shall be installed within 3-ft from the cooktop for a future
electric cooktop installation.
Electric clothes dryer ready: Clothes dryer using gas to serve individual dwelling units shall include a
dedicated 240 volt, minimum 30 amps branch circuit wiring shall be installed 3-ft from the clothes dryer
location for a future electric clothes dryer installation.

CHAPTER 4
RESIDENTIAL MANDATORY MEASURES
DIVISION 4.1 PLANNING AND DESIGN

4.406 ENHANCED DURABILITY AND REDUCED MAINTENANCE
4.406.1 RODENT PROOFING. Annular spaces around pipes, electric cables, conduits or other openings in
sole/bottom plates at exterior walls shall be protected against the passage of rodents by closing such
openings with cement mortar, concrete masonry or a similar method acceptable to the enforcing
agency.
4.408 CONSTRUCTION WASTE REDUCTION, DISPOSAL AND RECYCLING
4.408.1 CONSTRUCTION WASTE MANAGEMENT. Recycle and/or salvage for reuse a minimum of 65
percent of the non-hazardous construction and demolition waste in accordance with either Section
4.408.2, 4.408.3 or 4.408.4, or meet a more stringent local construction and demolition waste
management ordinance.
Exceptions:
1. Excavated soil and land-clearing debris.
2. Alternate waste reduction methods developed by working with local agencies if diversion or
recycle facilities capable of compliance with this item do not exist or are not located reasonably
close to the jobsite.
3. The enforcing agency may make exceptions to the requirements of this section when isolated
jobsites are located in areas beyond the haul boundaries of the diversion facility.
4.408.2 CONSTRUCTION WASTE MANAGEMENT PLAN. Submit a construction waste management plan
in conformance with Items 1 through 5. The construction waste management plan shall be updated as
necessary and shall be available during construction for examination by the enforcing agency.
1. Identify the construction and demolition waste materials to be diverted from disposal by recycling,
reuse on the project or salvage for future use or sale.
2. Specify if construction and demolition waste materials will be sorted on-site (source separated) or
bulk mixed (single stream).
3. Identify diversion facilities where the construction and demolition waste material collected will be
taken.
4. Identify construction methods employed to reduce the amount of construction and demolition waste
generated.
5. Specify that the amount of construction and demolition waste materials diverted shall be calculated
by weight or volume, but not by both.
4.408.3 WASTE MANAGEMENT COMPANY. Utilize a waste management company, approved by the
enforcing agency, which can provide verifiable documentation that the percentage of construction and
demolition waste material diverted from the landfill complies with Section 4.408.1.
Note: The owner or contractor may make the determination if the construction and demolition waste
materials will be diverted by a waste management company.
4.408.4 WASTE STREAM REDUCTION ALTERNATIVE [LR]. Projects that generate a total combined
weight of construction and demolition waste disposed of in landfills, which do not exceed 3.4
lbs./sq.ft. of the building area shall meet the minimum 65% construction waste reduction requirement in
Section 4.408.1
4.408.4.1 WASTE STREAM REDUCTION ALTERNATIVE. Projects that generate a total combined
weight of construction and demolition waste disposed of in landfills, which do not exceed 2 pounds
per square foot of the building area, shall meet the minimum 65% construction waste reduction
requirement in Section 4.408.1
4.408.5 DOCUMENTATION. Documentation shall be provided to the enforcing agency which demonstrates
compliance with Section 4.408.2, items 1 through 5, Section 4.408.3 or Section 4.408.4..
Notes:
1. Sample forms found in "A Guide to the California Green Building Standards Code
(Residential)" located at www.hcd.ca.gov/CALGreen.html may be used to assist in
documenting compliance with this section.
2. Mixed construction and demolition debris (C & D) processors can be located at the California
Department of Resources Recycling and Recovery (CalRecycle).
4.410 BUILDING MAINTENANCE AND OPERATION
4.410.1 OPERATION AND MAINTENANCE MANUAL. At the time of final inspection, a manual, compact
disc, web-based reference or other media acceptable to the enforcing agency which includes all of the
following shall be placed in the building:
1. Directions to the owner or occupant that the manual shall remain with the building throughout the
life cycle of the structure.
2. Operation and maintenance instructions for the following:
a. Equipment and appliances, including water-saving devices and systems, HVAC systems,
photovoltaic systems, electric vehicle chargers, water-heating systems and other major
appliances and equipment.
b. Roof and yard drainage, including gutters and downspouts.
c. Space conditioning systems, including condensers and air filters.
d. Landscape irrigation systems.
e. Water reuse systems.
3. Information from local utility, water and waste recovery providers on methods to further reduce
resource consumption, including recycle programs and locations.
4. Public transportation and/or carpool options available in the area.
5. Educational material on the positive impacts of an interior relative humidity between 30-60 percent
and what methods an occupant may use to maintain the relative humidity level in that range.
6. Information about water-conserving landscape and irrigation design and controllers which conserve
water.
7. Instructions for maintaining gutters and downspouts and the importance of diverting water at least 5
feet away from the foundation.
8. Information on required routine maintenance measures, including, but not limited to, caulking,
painting, grading around the building, etc.
9. Information about state solar energy and incentive programs available.
10. A copy of all special inspections verifications required by the enforcing agency or this code.
11. Information from the Department of Forestry and Fire Protection on maintenance of defensible
space around residential structures.
12. Information and/or drawings identifying the location of grab bar reinforcements.
4.410.2 RECYCLING BY OCCUPANTS. Where 5 or more multifamily dwelling units are constructed on a
building site, provide readily accessible area(s) that serves all buildings on the site and are identified for the
depositing, storage and collection of non-hazardous materials for recycling, including (at a minimum) paper,
corrugated cardboard, glass, plastics, organic waster, and metals, or meet a lawfully enacted local recycling
ordinance, if more restrictive.
Exception: Rural jurisdictions that meet and apply for the exemption in Public Resources Code Section
42649.82 (a)(2)(A) et seq. are note required to comply with the organic waste portion of
this section.

DIVISION 4.5 ENVIRONMENTAL QUALITY
4.303 INDOOR WATER USE
4.303.1 WATER CONSERVING PLUMBING FIXTURES AND FITTINGS. Plumbing fixtures (water closets and
urinals) and fittings (faucets and showerheads) shall comply with the sections 4.303.1.1, 4.303.1.2, 4.303.1.3,
and 4.303.4.4.
Note: All noncompliant plumbing fixtures in any residential real property shall be replaced with water-conserving
plumbing fixtures. Plumbing fixture replacement is required prior to issuance of a certificate of final
completion, certificate of occupancy, or final permit approval by the local building department. See Civil
Code Section 1101.1, et seq., for the definition of a noncompliant plumbing fixture, types of residential
buildings affected and other important enactment dates.
4.303.1.1 Water Closets. The effective flush volume of all water closets shall not exceed 1.28 gallons per
flush. Tank-type water closets shall be certified to the performance criteria of the U.S. EPA WaterSense
Specification for Tank-type Toilets.
Note: The effective flush volume of dual flush toilets is defined as the composite, average flush volume
of two reduced flushes and one full flush.
4.303.1.2 Urinals. The effective flush volume of wall mounted urinals shall not exceed 0.125 gallons per flush.
The effective flush volume of all other urinals shall not exceed 0.5 gallons per flush.
4.303.1.3 Showerheads.
4.303.1.3.1 Single Showerhead. Showerheads shall have a maximum flow rate of not more than 1.8
gallons per minute at 80 psi. Showerheads shall be certified to the performance criteria of the U.S. EPA
WaterSense Specification for Showerheads.
4.303.1.3.2 Multiple showerheads serving one shower. When a shower is served by more than one
showerhead, the combined flow rate of all the showerheads and/or other shower outlets controlled by
a single valve shall not exceed 1.8 gallons per minute at 80 psi, or the shower shall be designed to only
allow one shower outlet to be in operation at a time.
Note: A hand-held shower shall be considered a showerhead.
4.303.1.4 Faucets.
4.303.1.4.1 Residential Lavatory Faucets. The maximum flow rate of residential lavatory faucets shall
not exceed 1.2 gallons per minute at 60 psi. The minimum flow rate of residential lavatory faucets shall
not be less than 0.8 gallons per minute at 20 psi.
4.303.1.4.2 Lavatory Faucets in Common and Public Use Areas. The maximum flow rate of lavatory
faucets installed in common and public use areas (outside of dwellings or sleeping units) in residential
buildings shall not exceed 0.5 gallons per minute at 60 psi.
4.303.1.4.3 Metering Faucets. Metering faucets when installed in residential buildings shall not deliver
more than 0.2 gallons per cycle.
4.303.1.4.4 Kitchen Faucets. The maximum flow rate of kitchen faucets shall not exceed 1.8 gallons
per minute at 60 psi. Kitchen faucets may temporarily increase the flow above the maximum rate, but not
to exceed 2.2 gallons per minute at 60 psi, and must default to a maximum flow rate of 1.8 gallons per
minute at 60 psi.
Note: Where complying faucets are unavailable, aerators or other means may be used to achieve
reduction.
4.303.1.4.5 Pre-rinse spray valves.
When installed, shall meet the requirements in the California Code of Regulations, Title 20 (Appliance
Efficiency Regulations), Sections 1605.1 (h)(4) Table H-2, Section 1605.3 (h)(4)(A), and Section 1607
(d)(7) and shall be equipped with an integral automatic shutoff.
FOR REFERENCE ONLY: The following table and code section have been reprinted from the California
Code of Regulations, Title 20 (Appliance Efficiency Regulations),Section 1605.1 (h)(4) and Section
1605.3 (h)(4)(A).
Title 20 Section 1605.3 (h)(4)(A): Commercial prerinse spray values manufactured on or after January
1, 2006, shall have a minimum spray force of not less than 4.0 ounces-force (ozf)[113 grams-force(gf)]
4.303.2 Submeters for multifamily buildings and dwelling units in mixed-used residential/commercial
buildings.
Submeters shall be installed to measure water usage of individual rental dwelling units in accordance with the
California Plumbing Code.
4.303.3 Standards for plumbing fixtures and fittings. Plumbing fixtures and fittings shall be installed in
accordance with the California Plumbing Code, and shall meet the applicable standards referenced in Table
1701.1 of the California Plumbing Code.

4.304 OUTDOOR WATER USE
4.304.1 OUTDOOR POTABLE WATER USE IN LANDSCAPE AREAS. Residential developments shall comply with

Efficient Landscape Ordinance (MWELO), whichever is more stringent.

SECTION 4.102 DEFINITIONS
4.102.1 DEFINITIONS
The following terms are defined in Chapter 2 (and are included here for reference)
FRENCH DRAIN. A trench, hole or other depressed area loosely filled with rock, gravel, fragments of brick or similar
pervious material used to collect or channel drainage or runoff water.
WATTLES. Wattles are used to reduce sediment in runoff. Wattles are often constructed of natural plant materials
such as hay, straw or similar material shaped in the form of tubes and placed on a downflow slope. Wattles are also
used for perimeter and inlet controls.
4.106 SITE DEVELOPMENT
4.106.1 GENERAL. Preservation and use of available natural resources shall be accomplished through evaluation
and careful planning to minimize negative effects on the site and adjacent areas. Preservation of slopes,
management of storm water drainage and erosion controls shall comply with this section.
4.106.2 STORM WATER DRAINAGE AND RETENTION DURING CONSTRUCTION. Projects which disturb less
than one acre of soil and are not part of a larger common plan of development which in total disturbs one acre
or more, shall manage storm water drainage during construction. In order to manage storm water drainage
during construction, one or more of the following measures shall be implemented to prevent flooding of adjacent
property, prevent erosion and retain soil runoff on the site.
1. Retention basins of sufficient size shall be utilized to retain storm water on the site.
2. Where storm water is conveyed to a public drainage system, collection point, gutter or similar
disposal method, water shall be filtered by use of a barrier system, wattle or other method approved
by the enforcing agency.
3. Compliance with a lawfully enacted storm water management ordinance.
Note: Refer to the State Water Resources Control Board for projects which disturb one acre or more of soil, or
are part of a larger common plan of development which in total disturbs one acre or more of soil.

4.106.3 GRADING AND PAVING. Construction plans shall indicate how the site grading or drainage system will
manage all surface water flows to keep water from entering buildings. Examples of methods to manage surface
water include, but are not limited to, the following:
1. Swales
2. Water collection and disposal systems
3. French drains
4. Water retention gardens
5. Other water measures which keep surface water away from buildings and aid in groundwater
recharge.
Exception: Additions and alterations not altering the drainage path.
4.106.4 Electric vehicle (EV) charging for new construction. New construction shall comply with Sections
4.106.4.1 or 4.106.4.2 to facilitate future installation and use of EV chargers. Electric vehicle supply
equipment (EVSE) shall be installed in accordance with the California Electrical Code, Article 625.
Exceptions:
1. On a case-by-case basis, where the local enforcing agency has determined EV charging and
infrastructure are not feasible based upon one or more of the following conditions:
1.1 Where there is no local utility power supply or the local utility is unable to supply adequate
power.
1.2 Where there is evidence suitable to the local enforcing agency substantiating that additional
local utility infrastructure design requirements, directly related to the implementation of Section
4.106.4, may adversely impact the construction cost of the project.
2. Accessory Dwelling Units (ADU) and Junior Accessory Dwelling Units (JADU) without additional
parking facilities.
4.106.4.1 New one- and two-family dwellings and townhouses with attached private garages. For each
dwelling unit, install a listed raceway to accommodate a dedicated 208/240-volt branch circuit. The raceway
shall not be less than trade size 1 (nominal 1-inch inside diameter). The raceway shall originate at the main
service or subpanel and shall terminate into a listed cabinet, box or other enclosure in close proximity to the
proposed location of an EV charger. Raceways are required to be continuous at enclosed, inaccessible or
concealed areas and spaces. The service panel and/or subpanel shall provide capacity to install a 40-ampere
208/240-volt minimum dedicated branch circuit and space(s) reserved to permit installation of a branch circuit
overcurrent protective device.
Exemption: A raceway is not required if a minimum 40-ampere 208/240-volt dedicated EV branch circuit is
installed in close proximity to the proposed location of an EV charger at the time of original construction in
accordance with the California Electrical Code.
4.106.4.1.1 Identification. The service panel or subpanel circuit directory shall identify the overcurrent
protective device space(s) reserved for future EV charging as "EV CAPABLE". The raceway termination
location shall be permanently and visibly marked as "EV CAPABLE".
CHAPTER 3
GREEN BUILDING
SECTION 301 GENERAL
301.1 SCOPE. Buildings shall be designed to include the green building measures specified as mandatory in
the application checklists contained in this code. Voluntary green building measures are also included in the
application checklists and may be included in the design and construction of structures covered by this code,
but are not required unless adopted by a city, county, or city and county as specified in Section 101.7.
301.1.1 Additions and alterations. [HCD] The mandatory provisions of Chapter 4 shall be applied to
additions or alterations of existing residential buildings where the addition or alteration increases the
building's conditioned area, volume, or size. The requirements shall apply only to and/or within the
specific area of the addition or alteration.
The mandatory provision of Section 4.106.4.2 may apply to additions or alterations of existing parking
facilities or the addition of new parking facilities serving existing multifamily buildings. See Section
4.106.4.3 for application.
Note: Repairs including, but not limited to, resurfacing, restriping and repairing or maintaining existing
lighting fixtures are not considered alterations for the purpose of this section.
Note: On and after January 1, 2014, residential buildings undergoing permitted alterations, additions, or
improvements shall replace noncompliant plumbing fixtures with water-conserving plumbing fixtures.
Plumbing fixture replacement is required prior to issuance of a certificate of final completion, certificate
of occupancy or final permit approval by the local building department. See Civil Code Section 1101.1,
et seq., for the definition of a noncompliant plumbing fixture, types of residential buildings affected and
other important enactment dates.
301.2 LOW-RISE AND HIGH-RISE RESIDENTIAL BUILDINGS. [HCD] The provisions of
individual sections of CALGreen may apply to either low-rise residential buildings high-rise residential
buildings, or both. Individual sections will be designated by banners to indicate where the section applies
specifically to low-rise only (LR) or high-rise only (HR). When the section applies to both low-rise and
high-rise buildings, no banner will be used.
SECTION 302 MIXED OCCUPANCY BUILDINGS
302.1 MIXED OCCUPANCY BUILDINGS. In mixed occupancy buildings, each portion of a building
shall comply with the specific green building measures applicable to each specific occupancy.
Exceptions:
1. [HCD] Accessory structures and accessory occupancies serving residential buildings shall
comply with Chapter 4 and Appendix A4, as applicable.
2. [HCD] For purposes of CALGreen, live/work units, complying with Section 419 of the California
Building Code, shall not be considered mixed occupancies. Live/Work units shall comply with
Chapter 4 and Appendix A4, as applicable.
4.106.4.2 New multifamily dwellings, hotels and motels and new residential parking facilities.
When parking is provided, parking spaces for new multifamily dwellings, hotels and motels shall meet the
requirements of Sections 4.106.4.2.1 and 4.106.4.2.2. Calculations for spaces shall be rounded up to the nearest
whole number. A parking space served by electric vehicle supply equipment or designed as a future EV charging
space shall count as at least one standard automobile parking space only for the purpose of complying with any
applicable minimum parking space requirements established by a local jurisdiction. See Vehicle Code Section 22511.2
for further details.
4.106.4.2.1Multifamily development projects with less than 20 dwelling units; and hotels and motels with less
than 20 sleeping units or guest rooms.
The number of dwelling units, sleeping units or guest rooms shall be based on all buildings on a project site subject to
this section.
1.EV Capable. Ten (10) percent of the total number of parking spaces on a building site, provided for all types
of parking facilities, shall be electric vehicle charging spaces (EV spaces) capable of supporting future Level 2
EVSE. Electrical load calculations shall demonstrate that the electrical panel service capacity and electrical
system, including any on-site distribution transformer(s), have sufficient capacity to simultaneously charge all
EVs at all required EV spaces at a minimum of 40 amperes.
The service panel or subpanel circuit directory shall identify the overcurrent protective device space(s) reserved
for future EV charging purposes as “EV CAPABLE” in accordance with the California Electrical Code.
Exceptions:
1.When EV chargers (Level 2 EVSE) are installed in a number equal to or greater than the required number
of EV capable spaces.
2.When EV chargers (Level 2 EVSE) are installed in a number less than the required number of EV capable
spaces, the number of EV capable spaces required may be reduced by a number equal to the number of
EV chargers installed.
Notes:
a.Construction documents are intended to demonstrate the project’s capability and capacity for facilitating
future EV charging.
b.There is no requirement for EV spaces to be constructed or available until receptacles for EV charging or
EV chargers are installed for use.
2.EV Ready. Twenty-five (25) percent of the total number of parking spaces shall be equipped with low power
Level 2 EV charging receptacles. For multifamily parking facilities, no more than one receptacle is required per
dwelling unit when more than one parking space is provided for use by a single dwelling unit.
Exception: Areas of parking facilities served by parking lifts.
4.106.4.2.2 Multifamily development projects with 20 or more dwelling units, hotels and motels with 20 or more
sleeping units or guest rooms.
The number of dwelling units, sleeping units or guest rooms shall be based on all buildings on a project site subject to
this section.
1.EV Capable. Ten (10) percent of the total number of parking spaces on a building site, provided for all types

Notes:
a.Construction documents shall show locations of future EV spaces.
b.There is no requirement for EV spaces to be constructed or available until receptacles for EV charging or
EV chargers are installed for use.
2.EV Ready. Twenty-five (25) percent of the total number of parking spaces shall be equipped with low power
Level 2 EV charging receptacles. For multifamily parking facilities, no more than one receptacle is required per
dwelling unit when more than one parking space is provided for use by a single dwelling unit.
Exception: Areas of parking facilities served by parking lifts.
3.EV Chargers. Five (5) percent of the total number of parking spaces shall be equipped with Level 2 EVSE.
Where common use parking is provided, at least one EV charger shall be located in the common use parking
area and shall be available for use by all residents or guests.
When low power Level 2 EV charging receptacles or Level 2 EVSE are installed beyond the minimum required,
an automatic load management system (ALMS) may be used to reduce the maximum required electrical
capacity to each space served by the ALMS. The electrical system and any on-site distribution transformers
shall have sufficient capacity to deliver at least 3.3 kW simultaneously to each EV charging station (EVCS)
served by the ALMS. The branch circuit shall have a minimum capacity of 40 amperes, and installed EVSE shall
have a capacity of not less than 30 amperes. ALMS shall not be used to reduce the minimum required electrical
capacity to the required EV capable spaces.
4.106.4.2.2.1 Electric vehicle charging stations (EVCS).
Electric vehicle charging stations required by Section 4.106.4.2.2, Item 3, shall comply with Section 4.106.4.2.2.1.
Exception: Electric vehicle charging stations serving public accommodations, public housing, motels and hotels
shall not be required to comply with this section. See California Building Code, Chapter 11B, for applicable
requirements.
4.106.4.2.2.1.1 Location.
EVCS shall comply with at least one of the following options:
1.The charging space shall be located adjacent to an accessible parking space meeting the requirements of
the California Building Code, Chapter 11A, to allow use of the EV charger from the accessible parking space.
2.The charging space shall be located on an accessible route, as defined in the California Building Code,
Chapter 2, to the building.
Exception: Electric vehicle charging stations designed and constructed in compliance with the California
Building Code, Chapter 11B, are not required to comply with Section 4.106.4.2.2.1.1 and Section
4.106.4.2.2.1.2, Item 3.
4.106.4.2.2.1.2 Electric vehicle charging stations (EVCS) dimensions.
The charging spaces shall be designed to comply with the following:
1.The minimum length of each EV space shall be 18 feet (5486 mm).
2.The minimum width of each EV space shall be 9 feet (2743 mm).
3.One in every 25 charging spaces, but not less than one, shall also have an 8-foot (2438 mm) wide minimum
aisle. A 5-foot (1524 mm) wide minimum aisle shall be permitted provided the minimum width of the EV space is
12 feet (3658 mm).
a.Surface slope for this EV space and the aisle shall not exceed 1 unit vertical in 48 units horizontal (2.083
percent slope) in any direction.
4.106.4.2.2.1.3 Accessible EV spaces.
In addition to the requirements in Sections 4.106.4.2.2.1.1 and 4.106.4.2.2.1.2, all EVSE, when installed, shall
comply with the accessibility provisions for EV chargers in the California Building Code, Chapter 11B. EV ready
spaces and EVCS in multifamily developments shall comply with California Building Code, Chapter 11A, Section
1109A.
4.106.4.2.3 EV space requirements.
1.Single EV space required. Install a listed raceway capable of accommodating a 208/240-volt dedicated branch
circuit. The raceway shall not be less than trade size 1 (nominal 1-inch inside diameter). The raceway shall
originate at the main service or subpanel and shall terminate into a listed cabinet, box or enclosure in close
proximity to the location or the proposed location of the EV space. Construction documents shall identify the
raceway termination point, receptacle or charger location, as applicable. The service panel and/ or subpanel shall
have a 40-ampere minimum dedicated branch circuit, including branch circuit overcurrent protective device
installed, or space(s) reserved to permit installation of a branch circuit overcurrent protective device.
Exception: A raceway is not required if a minimum 40-ampere 208/240-volt dedicated EV branch circuit is
installed in close proximity to the location or the proposed location of the EV space, at the time of original
construction in accordance with the California Electrical Code.
2.Multiple EV spaces required. Construction documents shall indicate the raceway termination point and the
location of installed or future EV spaces, receptacles or EV chargers. Construction documents shall also provide
information on amperage of installed or future receptacles or EVSE, raceway method(s), wiring schematics and
electrical load calculations. Plan design shall be based upon a 40-ampere minimum branch circuit. Required
raceways and related components that are planned to be installed underground, enclosed, inaccessible or in
concealed areas and spaces shall be installed at the time of original construction.
SECTION 4.501 GENERAL
4.501.1 Scope
The provisions of this chapter shall outline means of reducing the quality of air contaminants that are odorous,
irritating and/or harmful to the comfort and well being of a building's installers, occupants and neighbors.
SECTION 4.502 DEFINITIONS
5.102.1 DEFINITIONS
The following terms are defined in Chapter 2 (and are included here for reference)
AGRIFIBER PRODUCTS. Agrifiber products include wheatboard, strawboard, panel substrates and door
cores, not including furniture, fixtures and equipment (FF&E) not considered base building elements.
COMPOSITE WOOD PRODUCTS. Composite wood products include hardwood plywood, particleboard and
medium density fiberboard. "Composite wood products" does not include hardboard, structural plywood,
structural panels, structural composite lumber, oriented strand board, glued laminated timber, prefabricated
wood I-joists or finger-jointed lumber, all as specified in California Code of regulations (CCR), title 17, Section

MAXIMUM INCREMENTAL REACTIVITY (MIR). The maximum change in weight of ozone formed by adding a
compound to the "Base Reactive Organic Gas (ROG) Mixture" per weight of compound added, expressed to
hundredths of a gram (g O³/g ROC).
Note: MIR values for individual compounds and hydrocarbon solvents are specified in CCR, Title 17, Sections 94700
and 94701.
MOISTURE CONTENT. The weight of the water in wood expressed in percentage of the weight of the oven-dry wood.
PRODUCT-WEIGHTED MIR (PWMIR). The sum of all weighted-MIR for all ingredients in a product subject to this
article. The PWMIR is the total product reactivity expressed to hundredths of a gram of ozone formed per gram of
product (excluding container and packaging).
Note: PWMIR is calculated according to equations found in CCR, Title 17, Section 94521 (a).
REACTIVE ORGANIC COMPOUND (ROC). Any compound that has the potential, once emitted, to contribute to
ozone formation in the troposphere.
VOC. A volatile organic compound (VOC) broadly defined as a chemical compound based on carbon chains or rings
with vapor pressures greater than 0.1 millimeters of mercury at room temperature. These compounds typically contain
hydrogen and may contain oxygen, nitrogen and other elements. See CCR Title 17, Section 94508(a).
4.503 FIREPLACES
4.503.1 GENERAL. Any installed gas fireplace shall be a direct-vent sealed-combustion type. Any installed
woodstove or pellet stove shall comply with U.S. EPA New Source Performance Standards (NSPS) emission limits as
applicable, and shall have a permanent label indicating they are certified to meet the emission limits. Woodstoves,
pellet stoves and fireplaces shall also comply with applicable local ordinances.
4.504 POLLUTANT CONTROL
4.504.1 COVERING OF DUCT OPENINGS & PROTECTION OF MECHANICAL EQUIPMENT DURING
CONSTRUCTION. At the time of rough installation, during storage on the construction site and until final
startup of the heating, cooling and ventilating equipment, all duct and other related air distribution component
openings shall be covered with tape, plastic, sheet metal or other methods acceptable to the enforcing agency to
reduce the amount of water, dust or debris which may enter the system.
4.504.2 FINISH MATERIAL POLLUTANT CONTROL. Finish materials shall comply with this section.
4.504.2.1 Adhesives, Sealants and Caulks. Adhesives, sealant and caulks used on the project shall meet the
requirements of the following standards unless more stringent local or regional air pollution or air quality
management district rules apply:
1. Adhesives, adhesive bonding primers, adhesive primers, sealants, sealant primers and caulks
shall comply with local or regional air pollution control or air quality management district rules where
applicable or SCAQMD Rule 1168 VOC limits, as shown in Table 4.504.1 or 4.504.2, as applicable.
Such products also shall comply with the Rule 1168 prohibition on the use of certain toxic
compounds (chloroform, ethylene dichloride, methylene chloride, perchloroethylene and
tricloroethylene), except for aerosol products, as specified in Subsection 2 below.
2. Aerosol adhesives, and smaller unit sizes of adhesives, and sealant or caulking compounds (in
units of product, less packaging, which do not weigh more than 1 pound and do not consist of more
than 16 fluid ounces) shall comply with statewide VOC standards and other requirements, including
prohibitions on use of certain toxic compounds, of California Code of Regulations, Title 17,
commencing with section 94507.
4.504.2.2 Paints and Coatings. Architectural paints and coatings shall comply with VOC limits in Table 1 of
the ARB Architectural Suggested Control Measure, as shown in Table 4.504.3, unless more stringent local limits
apply. The VOC content limit for coatings that do not meet the definitions for the specialty coatings categories
listed in Table 4.504.3 shall be determined by classifying the coating as a Flat, Nonflat or Nonflat-High Gloss
coating, based on its gloss, as defined in subsections 4.21, 4.36, and 4.37 of the 2007 California Air Resources
Board, Suggested Control Measure, and the corresponding Flat, Nonflat or Nonflat-High Gloss VOC limit in
Table 4.504.3 shall apply.
4.504.2.3 Aerosol Paints and Coatings. Aerosol paints and coatings shall meet the Product-weighted MIR
Limits for ROC in Section 94522(a)(2) and other requirements, including prohibitions on use of certain toxic
compounds and ozone depleting substances, in Sections 94522(e)(1) and (f)(1) of California Code of
Regulations, Title 17, commencing with Section 94520; and in areas under the jurisdiction of the Bay Area Air
Quality Management District additionally comply with the percent VOC by weight of product limits of Regulation
8, Rule 49.
4.504.2.4 Verification. Verification of compliance with this section shall be provided at the request of the
enforcing agency. Documentation may include, but is not limited to, the following:
1. Manufacturer's product specification.
2. Field verification of on-site product containers.
CHAPTER 7
INSTALLER & SPECIAL INSPECTOR QUALIFICATIONS
702 QUALIFICATIONS
702.1 INSTALLER TRAINING. HVAC system installers shall be trained and certified in the proper
installation of HVAC systems including ducts and equipment by a nationally or regionally recognized training or
certification program. Uncertified persons may perform HVAC installations when under the direct supervision and
responsibility of a person trained and certified to install HVAC systems or contractor licensed to install HVAC systems.
Examples of acceptable HVAC training and certification programs include but are not limited to the following:
1. State certified apprenticeship programs.
2. Public utility training programs.
3. Training programs sponsored by trade, labor or statewide energy consulting or verification organizations.
4. Programs sponsored by manufacturing organizations.
5. Other programs acceptable to the enforcing agency.
702.2 SPECIAL INSPECTION [HCD]. When required by the enforcing agency, the owner or the
responsible entity acting as the owner's agent shall employ one or more special inspectors to provide inspection or
other duties necessary to substantiate compliance with this code. Special inspectors shall demonstrate competence
to the satisfaction of the enforcing agency for the particular type of inspection or task to be performed. In addition to
other certifications or qualifications acceptable to the enforcing agency, the following certifications or education may be
considered by the enforcing agency when evaluating the qualifications of a special inspector:
1. Certification by a national or regional green building program or standard publisher.
2. Certification by a statewide energy consulting or verification organization, such as HERS raters, building
performance contractors, and home energy auditors.
3. Successful completion of a third party apprentice training program in the appropriate trade.
4. Other programs acceptable to the enforcing agency.
Notes:
1. Special inspectors shall be independent entities with no financial interest in the materials or the
project they are inspecting for compliance with this code.
2. HERS raters are special inspectors certified by the California Energy Commission (CEC) to rate
homes in California according to the Home Energy Rating System (HERS).
[BSC] When required by the enforcing agency, the owner or the responsible entity acting as the owner's agent shall
employ one or more special inspectors to provide inspection or other duties necessary to substantiate compliance with
this code. Special inspectors shall demonstrate competence to the satisfaction of the enforcing agency for the
particular type of inspection or task to be performed. In addition, the special inspector shall have a certification from a
recognized state, national or international association, as determined by the local agency. The area of certification
shall be closely related to the primary job function, as determined by the local agency.
Note: Special inspectors shall be independent entities with no financial interest in the materials or the
project they are inspecting for compliance with this code.
703 VERIFICATIONS
703.1 DOCUMENTATION. Documentation used to show compliance with this code shall include but is not
limited to, construction documents, plans, specifications, builder or installer certification, inspection reports, or other
methods acceptable to the enforcing agency which demonstrate substantial conformance. When specific
documentation or special inspection is necessary to verify compliance, that method of compliance will be specified in
the appropriate section or identified applicable checklist.
4.505 INTERIOR MOISTURE CONTROL
4.505.1 General. Buildings shall meet or exceed the provisions of the California Building Standards Code.
4.505.2 CONCRETE SLAB FOUNDATIONS. Concrete slab foundations required to have a vapor retarder by
California Building Code, Chapter 19, or concrete slab-on-ground floors required to have a vapor retarder by the
California Residential Code, Chapter 5, shall also comply with this section.
4.505.2.1 Capillary break. A capillary break shall be installed in compliance with at least one of the
following:
1. A 4-inch (101.6 mm) thick base of 1/2 inch (12.7mm) or larger clean aggregate shall be provided with
a vapor barrier in direct contact with concrete and a concrete mix design, which will address bleeding,
shrinkage, and curling, shall be used. For additional information, see American Concrete Institute,
ACI 302.2R-06.
2. Other equivalent methods approved by the enforcing agency.
3. A slab design specified by a licensed design professional.
4.505.3 MOISTURE CONTENT OF BUILDING MATERIALS. Building materials with visible signs of water damage
shall not be installed. Wall and floor framing shall not be enclosed when the framing members exceed 19 percent
moisture content. Moisture content shall be verified in compliance with the following:
1. Moisture content shall be determined with either a probe-type or contact-type moisture meter.Equivalent
moisture verification methods may be approved by the enforcing agency and shall satisfy requirements
found in Section 101.8 of this code.
2. Moisture readings shall be taken at a point 2 feet (610 mm) to 4 feet (1219 mm) from the grade stamped end
of each piece verified.
3. At least three random moisture readings shall be performed on wall and floor framing with documentation
acceptable to the enforcing agency provided at the time of approval to enclose the wall and floor framing.
Insulation products which are visibly wet or have a high moisture content shall be replaced or allowed to dry prior to
enclosure in wall or floor cavities. Wet-applied insulation products shall follow the manufacturers' drying
recommendations prior to enclosure.
4.506 INDOOR AIR QUALITY AND EXHAUST
4.506.1 Bathroom exhaust fans. Each bathroom shall be mechanically ventilated and shall comply with the
following:
1. Fans shall be ENERGY STAR compliant and be ducted to terminate outside the building.
2. Unless functioning as a component of a whole house ventilation system, fans must be controlled by a
humidity control.
a. Humidity controls shall be capable of adjustment between a relative humidity range less than or
equal to 50% to a maximum of 80%. A humidity control may utilize manual or automatic means of
adjustment.
b. A humidity control may be a separate component to the exhaust fan and is not required to be
integral (i.e., built-in)
Notes:
1. For the purposes of this section, a bathroom is a room which contains a bathtub, shower or
tub/shower combination.
2. Lighting integral to bathroom exhaust fans shall comply with the California Energy Code.
4.507 ENVIRONMENTAL COMFORT
4.507.2 HEATING AND AIR-CONDITIONING SYSTEM DESIGN. Heating and air conditioning systems shall be
sized, designed and have their equipment selected using the following methods:
1. The heat loss and heat gain is established according to ANSI/ACCA 2 Manual J - 2011 (Residential
Load Calculation), ASHRAE handbooks or other equivalent design software or methods.
2. Duct systems are sized according to ANSI/ACCA 1 Manual D - 2014 (Residential Duct Systems),
ASHRAE handbooks or other equivalent design software or methods.
3. Select heating and cooling equipment according to ANSI/ACCA 3 Manual S - 2014 (Residential
Equipment Selection), or other equivalent design software or methods.
Exception: Use of alternate design temperatures necessary to ensure the system functions are
acceptable.

4.504.5 COMPOSITE WOOD PRODUCTS. Hardwood plywood, particleboard and medium density fiberboard
composite wood products used on the interior or exterior of the buildings shall meet the requirements for
formaldehyde as specified in ARB's Air Toxics Control Measure for Composite Wood (17 CCR 93120 et seq.),
by or before the dates specified in those sections, as shown in Table 4.504.5
4.504.5.1 Documentation. Verification of compliance with this section shall be provided as requested
by the enforcing agency. Documentation shall include at least one of the following:
1. Product certifications and specifications.
2. Chain of custody certifications.
3. Product labeled and invoiced as meeting the Composite Wood Products regulation (see
CCR, Title 17, Section 93120, et seq.).
4. Exterior grade products marked as meeting the PS-1 or PS-2 standards of the Engineered
Wood Association, the Australian AS/NZS 2269, European 636 3S standards, and Canadian CSA
0121, CSA 0151, CSA 0153 and CSA 0325 standards.
5. Other methods acceptable to the enforcing agency.

Instructions: In order to qualify for the grading permit exemption for detached Accessory
Dwelling Unit (ADU) projects per handout PCC-15, the registered civil engineer of record shall
complete all sections, check all boxes and sign the certification section below. A copy of this
checklist shall be attached to each of TWO sets of plans. If answering NO to any of the
questions, a grading permit shall be required.

OPERATING AGREEMENT
of
Debwany Apartments LLC
This Operating Agreement (the "Agreement") made and entered into this 17th day of April, 2019 (the
"Execution Date"),

(the "Member").
BACKGROUND:
A.The Member wishes to be the sole member of a limited liability company.
B.The terms and conditions of this Agreement will govern the Member within the limited liability
company.
IN CONSIDERATION OF and as a condition of the Member entering into this Agreement and other
valuable consideration, the receipt and sufficiency of which is acknowledged, the Member agrees as
follows:
Formation
1.By this Agreement, the Member forms a Limited Liability Company (the "Company") in
accordance with the laws of the State of California. The rights and obligations of the Member will
be as stated in the California Revised Uniform Limited Liability Company Act (the "Act") except
as otherwise provided in this agreement.
Name
2.The name of the Company will be Debwany Apartments LLC.
Sole Member
3.While the Company consists only of one Member, any reference in this Agreement to two or
more Members and that requires the majority consent or unanimous consent of Members, or that
requires a certain percentage vote of Members, should be interpreted as only requiring the

consent or vote of the sole Member.
Purpose
4.Multi-Family Rental Property.
Term
5.The Company will continue until terminated as provided in this Agreement or may dissolve under
conditions provided in the Act.
Place of Business
6.The Principal Office of the Company will be located at 2935 North Mountain ave, San
Bernardino, CA 92404 or such other place as the Member may from time to time designate.
Capital Contributions
7.The following table shows the Initial Contributions of the Member. The Member agrees to make
the Initial Contributions to the Company in full, according to the following terms:

other Member for the distribution of Net Profits or Losses.
Nature of Interest
10.A Member's interest in the Company will be considered personal property, and will at no time be

Withdrawal of Contribution
11.Where the Company consists of two or more Members, no Member will withdraw any portion of
their Capital Contribution without the unanimous consent of the other Members.
Liability for Contribution
12.A Member's obligation to make their required Capital Contribution can only be compromised or
released with the consent of all remaining Members or as described elsewhere in this Agreement.
If a Member does not make the Capital Contribution when it is due, he is obligated at the option
of any remaining Members to contribute cash equal to the agreed value of the Capital
Contribution. This option is in addition to and not in lieu of any others rights, including the right
to specific performance that the Company may have against the Member.
Additional Contributions
13.No Member will be required to make Additional Contributions. Any changes to Capital
Contributions will not affect any Member's Interests except with the unanimous consent of the
Members.
14.Any advance of money to the Company by any Member in excess of the amounts provided for in
this Agreement or subsequently agreed to, will be deemed a debt due from the Company rather
than an increase in the Capital Contribution of the Member. This liability will be repaid with
interest at such rates and times to be determined by a majority of the Members. This liability will
not entitle the lending Member to any increased share of the Company's profits nor to a greater
voting power. Repayment of such debts will have priority over any other payments to Members.
Capital Accounts
15.An individual capital account will be maintained for each Member and their initial Capital
Contribution will be credited to this account. Any Additional Contributions made by any Member
will be credited to that Member's individual Capital Account.
Interest on Capital
16.No borrowing charge or loan interest will be due or payable to any Member on their agreed
Capital Contribution inclusive of any agreed Additional Contributions.

Management
17.Management of this Company is vested in the Member.
Authority to Bind Company
18.Only the following individuals have authority to act for or bind the Company in contract:

Duty of Loyalty
19.Any Member may invest in or engage in any business of any type, including without limitation, a
business that is similar to the business of the Company whether or not in direct competition with
the Company and whether or not within the established or contemplated market regions of the
Company. Neither the Company nor any Member will have any right to that opportunity or any
income derived from that opportunity.
Duty to Devote Time
20.Each Member will devote such time and attention to the business of the Company as the majority
of the Members will from time to time reasonably determine for the conduct of the Company
business.
Member Meetings
21.Where the Company consists of two or more Members, a meeting may be called by any Member
providing that reasonable notice has been provided to the other Members.
22.Member meetings will be held at any location that the Members may from time to time designate.
Voting
23.Where the Company consists of two or more Members, each Member will be entitled to cast
votes on any matter based upon the proportion of that Member's Capital Contributions in the
Company.

Admission of New Members
24.No new Members may be admitted into the Company.
Voluntary Withdrawal of a Member
25.The voluntary withdrawal of a Member will result in the dissolution of the Company.
26.It remains incumbent on the withdrawing Member to exercise this dissociation in good faith and
to minimize any present or future harm done to the remaining Members as a result of the
withdrawal.
Involuntary Withdrawal of a Member
27.Where the Company consists of two or more Members, events leading to the involuntary
withdrawal of a Member from the Company will include but not be limited to: death of a
Member; Member mental incapacity; Member disability preventing reasonable participation in
the Company; Member incompetence; breach of fiduciary duties by a Member; criminal
conviction of a Member; Operation of Law against a Member or a legal judgment against a
Member that can reasonably be expected to bring the business or societal reputation of the
Company into disrepute. Expulsion of a Member can also occur on application by the Company
or another Member, where it has been judicially determined that the Member: has engaged in
wrongful conduct that adversely and materially affected the Company's business; has willfully or
persistently committed a material breach of the Operating Agreement or of a duty owed to the
Company or to the other Members; or has engaged in conduct relating to the Company's business
that makes it not reasonably practicable to carry on the business with the Member.
28.The involuntary withdrawal of a Member will result in the dissolution of the Company.
Dissociation of a Member
29.Where the Company consists of two or more Members, in the event of either a voluntary or
involuntary withdrawal of a Member, if the remaining Members elect to purchase the interest of
the withdrawing Member, the remaining Members will serve written notice of such election,
including the purchase price and method and schedule of payment for the withdrawing Member's
interest, upon the withdrawing Member, their executor, administrator, trustee, committee or
analogous fiduciary within a reasonable period after acquiring knowledge of the change in
circumstance to the affected Member.

30.Any remaining Members retain the right to seek damages from a dissociated Member where the
dissociation resulted from a malicious or criminal act by the dissociated Member or where the
dissociated Member had breached their fiduciary duty to the Company or was in breach of this
Agreement or had acted in a way that could reasonably be foreseen to bring harm or damage to
the Company or to the reputation of the Company.
31.A dissociated Member will only have liability for Company obligations that were incurred during
their time as a Member. On dissociation of a Member, the Company will prepare, file, serve, and
publish all notices required by law to protect the dissociated Member from liability for future
Company obligations.
32.Where any remaining Members have purchased the interest of a dissociated Member, the
purchase amount will be paid in full, but without interest, within 90 days of the date of
withdrawal. The Company will retain exclusive rights to use of the trade name and firm name and
all related brand and model names of the Company.
Right of First Purchase
33.Where the Company consists of two or more Members, in the event that a Member's Interest in
the Company is or will be sold, due to any reason, the remaining Members will have a right of
first purchase of that Member's Interest.
Assignment of Interest
34.In the event that a Member’s interest in the company is transferred or assigned as the result of a
court order or Operation of Law, the trustee in bankruptcy or other person acquiring that
Member's interest in the Company will only acquire that Member's economic rights and interests
and will not acquire any other rights of that Member or be admitted as a Member of the Company
or have the right to exercise any management or voting interests.
Valuation of Interest
35.Where the Company consists of two or more Members, a Member's financial interest in the
Company will be in proportion to their Capital Contributions, inclusive of any Additional Capital
Contributions.
36.In the absence of a written agreement setting a value, the value of the Company will be based on
the fair market value appraisal of all Company assets (less liabilities) determined in accordance
with generally accepted accounting principles (GAAP). This appraisal will be conducted by an

independent accounting firm agreed to by all Members. An appraiser will be appointed within a
reasonable period of the date of withdrawal or dissolution. The results of the appraisal will be
binding on all Members.
37.No allowance will be made for goodwill, trade name, patents or other intangible assets, except
where those assets have been reflected on the Company books immediately prior to valuation.
Dissolution
38.The Company may be dissolved by a unanimous vote of the Members. The Company will also be
dissolved on the occurrence of events specified in the Act.
39.Upon Dissolution of the Company and liquidation of Company property, and after payment of all
selling costs and expenses, the liquidator will distribute the Company assets to the following
groups according to the following order of priority:
a.in satisfaction of liabilities to creditors except Company obligations to current Members;
b.in satisfaction of Company debt obligations to current Members; and then
c.to the Member.
40.The claims of each priority group will be satisfied in full before satisfying any claims of a lower
priority group. Any excess of Company assets after liabilities or any insufficiency in Company
assets over liabilities under this section will be resolved by the Member. Where there are two or
more Members, Company liabilities will be resolved by the Members in proportion to the
Members' financial interest as set out in the Valuation of Interest section of this Agreement.
Records
41.The Company will at all times maintain accurate records of the following:
a.Information regarding the status of the business and the financial condition of the
Company;
b.A copy of the Company federal, state, and local income taxes for each year;

c.Name and last known business, residential, or mailing address of each Member, as well as
the date that person became a Member;
d.A copy of this Agreement and any articles or certificate of formation, as well as all
amendments, together with any executed copies of any written powers of attorney pursuant
to which this Agreement, articles or certificate, and any amendments have been executed;
and
e.The cash, property, and services contributed to the Company by each Member, along with
a description and value, and any contributions that have been agreed to be made in the
future.
42.Each Member has the right to demand, within a reasonable period of time, a copy of any of the
above documents for any purpose reasonably related to their interest as a Member of the
Company, at their expense.
Books of Account
43.Accurate and complete books of account of the transactions of the Company will be kept in
accordance with generally accepted accounting principles (GAAP) and at all reasonable times
will be available and open to inspection and examination by any Member. The books and records
of the Company will reflect all the Company’s transactions and will be appropriate and adequate
for the business conducted by the Company.
Banking and Company Funds
44.The funds of the Company will be placed in such investments and banking accounts as will be
designated by the Member. All withdrawals from these accounts will be made by the duly
authorized agent or agents of the Company as appointed by unanimous consent of the Members.
Company funds will be held in the name of the Company and will not be commingled with those
of any other person or entity.
Audit
45.Any Member will have the right to request an audit of the Company books. The cost of the audit
will be borne by the Company. The audit will be performed by an accounting firm acceptable to
all the Members. Where the Company consists of two or more Members, not more than one (1)
audit will be required by any or all of the Members for any fiscal year.

Tax Treatment
46.This Company is intended to be treated as a disregarded entity for the purposes of Federal and
State Income Tax.
Annual Report
47.As soon as practicable after the close of each fiscal year, the Company will furnish to each
Member an annual report showing a full and complete account of the condition of the Company
including all information as will be necessary for the preparation of each Member's income or
other tax returns. This report will consist of at least:
a.A copy of the Company's federal income tax returns for that fiscal year;
b.A breakdown of the profit and loss attributable to each Member; and
c.Cash flow statement.
Goodwill
48.The goodwill of the Company will be assessed at an amount to be determined by appraisal using
generally accepted accounting principles (GAAP).
Governing Law
49.The laws of the State of California will govern the validity of this Agreement, the construction of
its terms, and the interpretation of the stated rights and duties.
Forbidden Acts
50.No Member may do any act in contravention of this Agreement.
51.No Member may permit, intentionally or unintentionally, the assignment of express, implied or
apparent authority to a third party that is not a Member of the Company.
52.No Member may do any act that would make it impossible to carry on the ordinary business of
the Company.
53.No Member will have the right or authority to bind or obligate the Company to any extent with
regard to any matter outside the intended purpose of the Company.

54.No Member may confess a judgment against the Company.
55.Where the Company consists of two or more Members, any violation of the above forbidden acts
will be deemed an Involuntary Withdrawal of the offending Member and may be treated
accordingly by the remaining Members.
Indemnification
56.The Member will be indemnified and held harmless by the Company from and against any and all
claims of any nature, whatsoever, arising out of the Member's participation in Company affairs.
The Member will not be entitled to indemnification under this section for liability arising out of
gross negligence or willful misconduct of the Member or the breach by the Member of any
provisions of this Agreement.
Liability
57.A Member or any employee will not be liable to the Company or to any other Member for any
mistake or error in judgment or for any act or omission believed in good faith to be within the
scope of authority conferred or implied by this Agreement or the Company. The Member or
employee will be liable only for any and all acts and omissions involving intentional wrongdoing.
Liability Insurance
58.The Company may acquire insurance on behalf of any Member, employee, agent or other person
engaged in the business interest of the Company against any liability asserted against them or
incurred by them while acting in good faith on behalf of the Company.
Life Insurance
59.The Company will have the right to acquire life insurance on the life of the Member, whenever it
is deemed necessary by the Company. The Member will cooperate fully with the Company in
obtaining any such policies of life insurance.
Amendment of Operating Agreement
60.No amendment or modification of this Agreement will be valid or effective unless in writing and
signed by all Members.

Title to Company Property
61.Title to all Company property will remain in the name of the Company. No Member or group of
Members will have any ownership interest in Company property in whole or in part.
Miscellaneous
62.Time is of the essence in this Agreement.
63.This Agreement may be executed in counterparts.
64.Headings are inserted for the convenience of the parties only and are not to be considered when
interpreting this Agreement. Words in the singular mean and include the plural and vice versa.
Words in the masculine gender include the feminine gender and vice versa. Words in a neutral
gender include the masculine gender and the feminine gender and vice versa.
65.If any term, covenant, condition or provision of this Agreement is held by a court of competent
jurisdiction to be invalid, void or unenforceable, it is the parties' intent that such provision be
reduced in scope by the court only to the extent deemed necessary by that court to render the
provision reasonable and enforceable and the remainder of the provisions of this Agreement will
in no way be affected, impaired or invalidated as a result.
66.This Agreement contains the entire agreement between the parties. All negotiations and
understandings have been included in this Agreement. Statements or representations that may
have been made by any party to this Agreement in the negotiation stages of this Agreement may
in some way be inconsistent with this final written Agreement. All such statements have no force
or effect in respect to this Agreement. Only the written terms of this Agreement will bind the
parties.
67.This Agreement and the terms and conditions contained in this Agreement apply to and are
binding upon the Member's successors, assigns, executors, administrators, beneficiaries, and
representatives.
68.Any notices or delivery required here will be deemed completed when hand-delivered, delivered
by agent, or seven (7) days after being placed in the post, postage prepaid, to the parties at the
addresses contained in this Agreement or as the parties may later designate in writing.

69.All of the rights, remedies and benefits provided by this Agreement will be cumulative and will
not be exclusive of any other such rights, remedies and benefits allowed by law.
Definitions
70.For the purpose of this Agreement, the following terms are defined as follows:
a."Additional Contribution" means Capital Contributions, other than Initial Contributions,
made by a Member to the Company.
b."Capital Contribution" means the total amount of cash, property, or services contributed to
the Company by any one Member.
c."Initial Contribution" means Capital Contributions made by a Member to acquire an
interest in the Company.
d."Member's Interests" means the Member's collective rights, including but not limited to,
the Member's right to share in profits, Member's right to a share of Company assets on
dissolution of the Company, Member's voting rights, and Member's rights to participate in
the management of the Company.
e."Net Profits or Losses" means the net profits or losses of the Company as determined by
generally accepted accounting principles (GAAP).
f."Operation of Law" means rights or duties that are cast upon a party by the law, without
any act or agreement on the part of the individual including, but not limited to, an
assignment for the benefit of creditors, a divorce, or a bankruptcy.
g."Principal Office" means the office whether inside or outside the State of California where
the executive or management of the Company maintain their primary office.

How do I file my LLC Operating Agreement?
You do not need to file your LLC Operating Agreement. The Operating Agreement is simply an
agreement between the members of the LLC.
An LLC is created by preparing and filing an Articles of Organization document with the state where the
LLC will operate.
Why does this agreement refer to 'two or more Members' when I am the sole Member and no new
Members can be added?
Even though your current intention is for only one member, it is possible in future to amend this LLC
Operating Agreement to allow more members, instead of having to start a new LLC which could have
adverse tax affects. Instead of omitting those clauses that are relevant only to LLC's with two or more
members, we have tried to include those clauses in the final document so that you are aware of the issues
that need to be addressed.
What is a Tax Matters Partner?
The Tax Matters Partner (Member) is the Member selected by the LLC to represent the company to the
Internal Revenue Service and to make decisions on behalf of the LLC concerning taxation issues. The
Internal Revenue Code requires that the company designate a Member for this purpose.

How do I choose my tax treatment category?
It is important to note that how the LLC is taxed does not affect the legal protections the LLC provides.
For example, an LLC could be set up to be taxed like a sole proprietorship while still providing limited
liability protection.
One Member LLC
An LLC with 1 member will be treated as a disregarded entity by default. This means the LLC will be
taxed as a sole proprietorship.
Two Member LLC
An LLC with 2 or more members will be taxed as a partnership by default. If you choose to be taxed as
a partnership, the income from your LLC passes through to the members and is declared as personal
income. In this way income is only taxed once but the personal income tax rates paid by the members
may be much higher than the applicable corporate rate.
Additionally, any LLC has the option to be taxed as a corporation. A disadvantage of a corporate tax
model is double taxation - where the LLC pays taxes on company income and the members also pay tax
on any income that members receive as dividends from the LLC. The advantage of the corporate tax
model is that if most of the profits of the LLC can be retained in the company then double taxation can
be minimized and overall tax paid at a lower corporate tax rate.
Your choice of taxation method should result in the lowest taxes. If you have any further questions you
should contact a local tax lawyer or accountant.
Are there any limits on distributions?
State law often restricts the amount of company distributions in order to ensure the company remains
solvent. For example, some states have a distribution limit that prevents the company’s liabilities from
exceeding assets after a distribution is made.

What is an allocation?
Where an LLC is classified as a partnership for federal income tax purposes, profits and losses are
allocated among members. The LLC itself will not pay income tax in that case.
What are the benefits of requiring unanimous agreement?
Requiring unanimous consent is typically reserved for issues critical to the company. By requiring
unanimous consent, all Member's Interests are protected against unreasonable majority decisions.
Do I need witnesses?
It is a good idea to have your signatures witnessed even though most documents and contracts do not
require a witness for them to be legally valid.
Many banks and other institutions have their own internal policies about signing requirements, and may
refuse to accept documents that are not witnessed regardless of the fact that the documents are legally
valid. If you want to avoid bureaucratic hold-ups, it may be a good idea to have your document
witnessed.
How do I choose a witness?
Generally, the person you choose to witness a document should be a neutral third party with no financial
or other interest in the agreement.
Ideally, a witness will observe the parties signing the document and sign the document as proof that they
witnessed the parties signing. The witness is not usually required to know or understand the contents of
the document.
