MOU No.:M-011-18-00 <br />SCAG Project/OWP No.:275-4823.01 <br />b. SCAG shall only be obligated to make payment to the CITY for work performed as part of Exhibit <br />A regarding the Project, up to the maximum amount of Three Hundred Twenty -Five Thousand <br />Dollars ($325,000). SCAG intends to use State and Local Transportation Funds to meet its fruiding <br />obligations described herein. <br />The CITY hereby verifies that it procured or shall procure the Consultants to perform the Scope <br />of Work through a competitive process involving preparation and issuance of a Request for <br />Proposal (RFP). The CITY shall provide SCAG with a copy of its Notice to Proceed issued to the <br />Consultant and other related documentation of compliance with applicable procurement <br />requirements and terms and conditions of this MOU. <br />d. Subject to the execution of a valid, enforceable contract between CITY and Consultant, CITY shall <br />be responsible for managing the Consultant in performing the Scope of Work described in Exhibit <br />A, with written Quarterly Reports provided to SCAG's Project Manager. CITY's and SCAG'S <br />Project Manager shall review, approve and pay Consultant's invoices. <br />e. CITY's Project Manager shall have final approval of Consultant's deliverables; provided, <br />however, that prior to approving a deliverable from the Consultant, CITY's Project Manager will <br />consult with SCAG's Project Manager and provide copies of all deliverables to SCAG's Project <br />Manager and SCAG's Grant Administrator. In the event that CITY or its Consultants propose an <br />amendment to the Consultant's contract with respective Consultant which changes the terms of <br />Consultant's contract with CITY, including but not limited to, increases the value of the contract <br />amount and/or modifies the Scope of Work, CITY shall notify SCAG's Project Manager in writing <br />prior to execution of such amendment and provide SCAG with copy of amendment. SCAG may <br />propose an amendment to this Agreement, if necessary, consistent with any executed amendments <br />to the Consultant contract. <br />f. SCAG's Project Manager shall be notified and invited to: the kick-off meeting with the Consultant, <br />all steering or technical advisory committee meetings, all public engagement outreach events, and <br />all City Council or Commission meetings where the Project in whole or in part is being presented <br />or discussed. <br />3. Term <br />The Term of this Agreement shall begin on the Effective Date of the Agreement and continue until <br />December 31, 2019, hereinafter referred to as the "Completion Date," unless terminated earlier as <br />provided herein. Time is of the essence in the performance of services under this MOU. <br />4. Program Management <br />a. All work under this MOU shall be coordinated with SCAG and CITY through the Project <br />Managers. <br />b.
