CONSULTANT AGREEMENT <br />WITH IDEXX LABORATORIES, INC. <br />THIS AGREEMENT is made and entered into this 5th day of June, 2018 by and between <br />-IDE -XX Laboratories,_ Inc., a Delaware Corporation ("Consultant'), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California ("City"). <br />II'vRe] U V:111, <br />A. The City desires to retain a Consultant having special skill and knowledge in the field of <br />providing veterinary laboratory services and testing for zoo animals. <br />B. Consultant represents that it is willing to provide these services. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />I. SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement veterinary laboratory services <br />for zoo animals described and set forth in the attached Scope of Services identified as Exhibit A, <br />attached hereto and incorporated by reference. <br />2. COMPENSATION <br />Consultant shall charge for the services provided pursuant to this Agreement the fees set <br />forth in the attached Exhibit A. The total costs authorized pursuant to this Agreement shall not <br />exceed sixteen thousand dollars ($16,000.00) per. year. In the event that all extensions available <br />pursuant to this Agreement are exercised, the total not to exceed amount of this Agreement shall <br />be forty-eight thousand dollars ($48,000.00). <br />3. TERM <br />This Agreement shall commence on the date first written above and will terminate on June;. <br />4, 20.19, unless terminated earlier in accordance with Section 13 of this Agreement.
