FOR ELECTRIC <br />VEHICLE CHARGING STATION CLOUD <br />NETWORKING SERVICES <br />(STRATEGIC PLAN NO. 6,2) <br />Clt&ANAGER <br />ki <br />RECOMMENDED ACTION <br />CLERK OF COUNCIL USE ONLY: <br />APPROVED <br />❑ As Recommended <br />❑ As Amended <br />❑ Ordinance on 15' Reading <br />❑ Ordinance on 2ntl Reading <br />❑ Implementing Resolution <br />❑ Set Public Hearing For <br />CONTINUED TO <br />FILE NUMBER <br />Authorize the City Manager and Clerk of the Council to execute Master Services and Subscription <br />agreement with ChargePoint Inc. to provide cloud networking services for City owned electric <br />vehicle charging stations effective June 5, 2018 until the expiration of all subscriber service plans, <br />subject to non -substantive changes approved by the City Manager and City Attorney. <br />DISCUSSION <br />On February 6, 2018, City Council approved an agreement with Voltaic Inc. to provide and install <br />10 dual ChargePoint charging stations throughout the City. These ChargePoint stations provide <br />a networked approach to EV purchases, where fueling locations and payments are made <br />available on a real-time basis on the user's smartphone or vehicle navigation system. <br />Additionally, all EV charging station usage data is available to the City in a cloud environment <br />and include a wide variety of reports to help provide an ongoing review of each station including <br />revenues received and actual electrical costs. In order to have access to the ChargePoint cloud <br />system, a Master Services and Subscription Agreement (MSSA), which outlines the liability and <br />responsibilities of each party, is required. The attached MSSA provides the City access to their <br />cloud platform and details the responsibility of each party. <br />While this agreement was originally on the agenda item on February 6, 2018, ChargePoint later <br />had some concerns regarding the elimination of their proposed limitation of liability clause. After <br />discussing this issue further, both parties agreed to a limitation of liability in case of <br />ChargePoint's breach of contract only. The new language does not limit ChargePoint's potential <br />liability with respect to negligence, intellectual property infringement, or any other reason. Staff <br />anticipates that the ten electric vehicle charging stations will be installed starting in June 2018. <br />25G-1 <br />
