DocuSign Envelope ID: 29D1 D31 B-ACQA-432E-9121-2EFB16E35D64 <br />+ I i <br />INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CL_ER KOFC U CIL <br />DATE: JUN 14 2010 <br />AGREEMENT TO PROVIDE <br />TEMPORARY STAFFING SERVICES <br />e_C _,,Iv,,HIS AGREEMENT is made and entered into this 5th day of June, 2018 by and between Apple One <br />Employment Services, An ActOne Group Company, ("Contractors"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of the <br />State of California ("City"). <br />RECITALS <br />A. On February 6, 2018, the City issued a Request for Proposal ("RFP") No. 18-009, by which it <br />sought qualified contractors to provide temporary staffing services for the City's employment <br />needs. <br />B. Contractor submitted a responsive proposal that was among those selected by the City. <br />Contractor represents that Contractor is able and willing to provide the services described in <br />the scope of work that was included in RFP No. 18-009 and attached as Exhibit A. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this Agreement <br />will be performed in compliance with such standards as may reasonably be expected from a <br />professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth„ the parties agree as follows: <br />SCOPE OF SERVICES <br />Contractor shall perform during the term of this Agreement, the tasks and obligations including <br />all labor, materials, tools, equipment, and incidental customary work required to fully and adequately <br />complete the services described and set forth in Exhibit A. Contractor's proposal dated February 28, <br />2018, is incorporated by reference as though fully set forth herein. <br />2. COMPENSATION <br />a. City neither warrants nor guarantees any minimum or maximum compensation to <br />Contractor under this Agreement. Contract shall be paid only for services performed under <br />this Agreement at the rates and charges identified in Exhibit B. Contractor is one of three <br />Contractors selected to provide temporary staffing services. The total compensation to] - <br />Contractor, as one of the selected contractors, shall not exceed $400,000 per year, including <br />any extension periods as detailed in Section 3. <br />b. Payment by City shall be made within 45 (forty-five) days following receipt of proper <br />invoice evidencing work performed, subject to City accounting procedures. If there is any <br />dispute regarding payment for work which fails to meet the standards of performance set <br />forth in the Recitals which may reasonably be expected by City, this can be determined. <br />mutually by the parties in a court of law. <br />Page] of 8 <br />
