Prudential <br />SERVICES AGREEMENT <br />("Agreement") <br />Effective as of October 1, 2018 <br />by and between <br />CITY OF SANTA ANA <br />("Plan Sponsor") <br />and <br />Services Agreement <br />Provided by Prudential Retirement <br />Insurance and Annuity Company <br />PRUDENTIAL RETIREMENT INSURANCE AND ANNUITY COMPANY <br />("Prudential") <br />on behalf of the <br />City of Santa Ana Deferred Compensation Plan <br />('Plan") <br />As used in this Agreement, "Plan Sponsor" shall also mean any agent, representative or designee the <br />Plan Sponsor authorizes to act for it with Prudential, and 'Prudential" shall also mean any agent, <br />designee or subcontractor Prudential authorizes to act for it. The Plan Sponsor agrees and <br />acknowledges that the services provided hereunder may be provided by or through affiliates or <br />subsidiaries of Prudential, including, but not limited to, Prudential Investment Management Services LLC <br />("PIMS"). <br />A. Basic Understandings <br />The Plan Sponsor represents that: <br />• The Plan is or will be in existence at the time funds are deposited with Prudential; <br />• The Plan is intended to be an eligible deferred compensation plan described in Section 457(b) <br />of the Internal Revenue Code of 1986, as amended (the "Code") for a governmental employer <br />described in Section 457(e)(1)(A) of the Code; <br />• The Plan is funded by a related Trust (the 'Trust") which is intended to satisfy the requirements <br />of Section 457(g) of the Code; and <br />• It is authorized to execute this Agreement under the terms of the Plan. <br />Prudential represents that: <br />It will perform the Services (as defined herein) in accordance with its then current standard policies and <br />procedures, described in the Administration Section of your Implementation Workbook ("Administrative <br />Procedures'), as may be updated from time to time, and applicable law. <br />Exhibit 1 <br />2501-5 <br />
