(xviii) a verification report of , as to the sufficiency to pay in full <br />the redemption price of the Refunded Bonds of the moneys in the escrow fund <br />created under the Escrow Agreement; <br />(xix) a copy of the Municipal Bond Insurance Policy; <br />(xx) a copy of the Reserve Account Insurance Policy; <br />(xxi) an opinion of counsel to the Insurer, addressed to the Successor <br />Agency and the Underwriter to the effect that: <br />(A) the descriptions of the Insurer, the Municipal Bond Insurance <br />Policy and the Reserve Account Insurance Policy included in the Official <br />Statement are accurate; <br />(B) the Municipal Bond Insurance Policy and the Reserve <br />Account Insurance Policy constitute legal, valid and binding obligations of <br />the Insurer, enforceable in accordance with their respective terms, except as <br />the enforcement thereof may be limited by bankruptcy, insolvency, <br />reorganization, moratorium or similar laws or equitable principles relating to <br />or limiting creditor's rights generally and by the application of equitable <br />principles if equitable remedies are sought, and <br />(C) as to such other matters as the Successor Agency or the <br />Underwriter may reasonably request; <br />(xxii) a certificate of the Insurer, signed by an authorized officer of the <br />Insurer, to the effect that: <br />(A) the information contained in the Official Statement relating to <br />the Insurer, the Municipal Bond Insurance Policy and the Reserve Account <br />Insurance Policy is true and accurate and <br />(B) as to such other matters as the Successor Agency or the <br />Underwriter may reasonably request; <br />(xxiii) satisfactory evidence that the Bonds have been assigned the ratings as <br />set forth in the Official Statement; <br />(xxiv) a certificate of an officer of Keyser, Marston & Associates (the <br />"Fiscal Consultant"), dated the Closing Date, addressed to the Successor Agency and <br />the Underwriter, to the effect that, to the best of its knowledge, the assessed <br />valuations and other fiscal information contained in the Official Statement, including <br />such fern's Fiscal Consultant's Report attached thereto as APPENDIX A, are <br />presented fairly and accurately, and consenting to the use of their report as <br />APPENDIX A to the Preliminary Official Statement and the Official Statement; <br />(xxv) evidence of required filings with the California Debt and Investment <br />Advisory Commission; <br />15 <br />SA -3-107 <br />
