"Law" shall mean the Community Redevelopment Law of the State of California (being <br />Part I of Division 24 of the California Health and Safety Code, as amended), and all laws <br />amendatory thereof or supplemental thereto including, without limitation, the Dissolution Act. <br />"Maximum Annual Debt Service" shall mean the largest Annual Debt Service for any <br />Bond Year, including the Bond Year in which the calculation is made. <br />"MSRB" shall mean the Municipal Securities Rulemaking Board or any other entity <br />designated or authorized by the Securities and Exchange Commission to receive reports pursuant <br />to the Rule. Until otherwise designated by the MSRB or the Securities and Exchange <br />Commission, filings with the MSRB are to be made through the Electronic Municipal Market <br />Access (EMMA) website of the MSRB, currently located at http://emma.msrb.org. <br />"Officer's Certificate" shall mean a certificate signed by the Mayor, the City Manager <br />or the Director of Finance, acting for and on behalf of the Agency, the Executive Director of the <br />Agency, or the City Clerk acting for the Agency. <br />"Outstanding" when used as of any particular time with reference to Bonds, shall mean <br />(subject to the provisions of Section 9.02) all Bonds except: <br />(1) Bonds theretofore cancelled by the Trustee or surrendered to the Trustee for <br />cancellation; <br />(2) Bonds paid or deemed to have been paid within the meaning of Section 11.02; <br />and <br />(3) Bonds in lieu of or in substitution for which other Bonds shall have been <br />authorized, executed, issued and delivered by the Agency pursuant to the Indenture. <br />"Oversight Board" shall mean the oversight board of the Agency duly constituted from <br />time to time pursuant to Section 34179 of the Dissolution Act. <br />"Owner" or "Boudowner" whenever employed herein shall mean the person in whose <br />name such Bond shall be registered. <br />"Parity Debt" shall mean any additional tax allocation bonds, notes, interim certificates, <br />debentures or other obligations issued by the Agency as permitted by the Indenture payable out <br />of Tax Revenues and ranking on a parity with the Bonds. <br />"Pass -Through Agreements" shall mean each pass-through agreement and tax sharing <br />agreement entered into by the Agency with respect to a Project Area. <br />"Pass Through Obligations" shall mean (i) the statutory pass-through obligations of the <br />Agency described under Section 33607.5 of the Law, and (ii) the Pass -Through Agreements, and <br />shall include amounts elected to be allocated pursuant to subdivision (a) of Section 33676 and <br />Section 33607.7 or of the California Health and Safety Code. <br />4150-2542-5420.3 <br />40990-25 <br />SA -3-26 <br />
