The Trustee shall not be deemed to have made representations as to the security <br />afforded thereby or as to the validity, sufficiency or priority of any such document, collateral or <br />security of the Bonds. <br />0) The Trustee shall not be deemed to have knowledge of any Event of Default <br />hereunder unless and until a Responsible Officer shall have actual knowledge thereof at the <br />Trustee's Principal Corporate Trust Office. The Trustee shall not be bound to ascertain or <br />inquire as to the performance or observance of any of the terms, conditions, covenants or <br />agreements herein or of any documents executed in connection with the Bonds or as to the <br />existence of an Event of Default hereunder. <br />(k) The Trustee shall not be accountable for the use or application by the Agency or <br />any other party of any funds which the Trustee has released under the Indenture. <br />(1) The Trustee shall provide a monthly accounting of all Funds held pursuant to the <br />Indenture to the Agency within fifteen (15) Business Days after the end of each month and shall <br />provide statements of account for each annual period beginning July 1 and ending June 30, <br />within 90 days after the end of such period. Such accounting shall show in reasonable detail all <br />transactions made by the Trustee under the Indenture during the accounting period and the <br />balance in any Funds and accounts created under the Indenture as of the beginning and close of <br />such accounting period. <br />(m) All moneys received by the Trustee shall, until used or applied or invested as <br />herein provided, be held in trust for the purposes for which they were received but need not be <br />segregated from other funds except to the extent required by law. <br />(n) The permissive rights of the Trustee to do things enumerated in the Indenture <br />shall not be construed as a duty unless so specified herein. <br />(o) The Trustee may appoint and act through an agent and shall not be responsible for <br />any misconduct or negligence of any such agent appointed with due care. The Trustee may <br />execute any of the trusts or powers hereof and perform the duties required of it hereunder by or <br />through attorneys, agents, affiliates, or receivers, and shall be entitled to advice of counsel <br />concerning all matters of trust and its duty hereunder, and the Trustee shall not be answerable for <br />the acts or omissions of any such attorney, agent, or receiver selected by it with reasonable care. <br />(p) The Trustee shall have the right to accept and act upon instructions, including <br />funds transfer instructions ("Instructions") given pursuant to this Indenture and delivered using <br />Electronic Means ("Electronic Means" shall mean the following communications methods: e- <br />mail, facsimile transmission, secure electronic transmission containing applicable authorization <br />codes, passwords and/or authentication keys issued by the Trustee, or another method or system <br />specified by the Trustee as available for use in connection with its services hereunder); provided, <br />however, that the Agency shall provide to the Trustee an incumbency certificate listing officers <br />with the authority to provide such Instructions ("Authorized Officers") and containing specimen <br />signatures of such Authorized Officers, which incumbency certificate shall be amended by the <br />Agency whenever a person is to be added or deleted from the listing.
