INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />It - t <br />CLERK OF COUNCIL <br />DATE i)V,. 17 syjkj <br />0: PRCS ( / ) AGREEMENT TO PROVIDE SUMMER NIGHT LIGHTS PROGRAM <br />N-2018-141 <br />Silvia Cuevas <br />"this agreement is made and entered into this I I"' day of July, 2018 by and between Nati's House <br />dba Neutral Ground, a California anon -profit organization ("Contraeter") and the City ofSanta Ana, achartor <br />city and municipal corporation organized and existing under the Constitution and laws Of the State (if <br />California C'City"), <br />RECITAUS <br />.A, The City desires to retain a contractor having special skill and knowledge in the field of providing <br />food, games, crafts, sports and counseling and educational traiminni during the summer roonflas <br />to reduce violence and increase community relations. <br />B, Contractor represents that it is able and willing to provide such services ten the City known as the <br />Summer Night Lights program ("Event'), <br />C. In undertaking the performance of this Agreement, Contractor refirc-,ents that it is knowledgeable <br />in its field and that any services performed by Contractor under this Agreement will be performed <br />in compliance with such standards as array reasonably be expected front a professional consulting <br />thin in the field. <br />NOW T HERFFORE, it) consideration of the mutual and respective promises, and subject to the tertis and <br />condil ions hereinafter set linih, the parties of as follows: <br />I SCOPE OF SERVICES <br />Contractor shall provide Summer Night fights Program cervices for the City as set forth in the scope <br />of w"iccs attached and incorporated as Exhibit A. <br />2, COMPENSATION <br />a. Contractor agrees to pay, and City agrees to accept as total payment for its services, the rates <br />and charges identified in Exhibit A. 'the total sum to be expended under this Agreement shall <br />not exceed Line Thousand Two Hundred Ninety -Three Dollars and 30 Cents ($1,293.30) for <br />the term of this agreement. <br />b. A deposit arricaun of 'Three Thousand Dollars ($3,000,00), will be paid to the City for any <br />dtitna,-eqthat ninyincur, ,,isaresult f,iftlieprogram. Deposit will berefunded to Contractor <br />to 6 weeks after the program has ended and no heritage to the location reficrenced in Exhibit A <br />has beeri, confirmed by the Executive Director of the Parks, Recreation and Community <br />Services Agency, <br />31 TERM <br />This Agrearrient shall comiarenoe on the (late stated above and terminate on August 31, 2018, untess <br />teriumated earlier in accordance with Section 12, below, <br />4. ]INDEPENDENT CONTRACTOR <br />Contractor shall, during the entire term of this Agreement, be construed to be in independent <br />contractor mid not an employee of the City, This Agreement is not intended nor shall it he cot arued to <br />Page I of 8 <br />
