6.2 City's Right to Enter. The Executive Director and City staff shall have the <br />right to enter the Facilities at any and all times for the purpose of inspection, evaluation, <br />and observation of Concessionaire's operation. During these inspections, they shall have <br />the right to photograph, film, or otherwise record conditions and events taking place upon <br />the Facilities. Inspections may be made for the purposes set forth below, and for any <br />other lawful purpose for which the City or another governmental entity with jurisdiction <br />is authorized to perform inspections of the Facilities: <br />• To determine if the terms and conditions of the Agreement are <br />being complied with. <br />• To observe transactions between the Concessionaire and <br />patrons in order to evaluate the quality and quantities of services <br />provided or items sold or dispensed. <br />6.2.1 Should Concessionaire, after ten (10) day notice from City of the <br />need thereof, fail to perform its maintenance service obligations <br />required herein, City in addition to all other available remedies <br />may, but shall not be obligated to, exercise its Right of Entry as <br />provided herein. City may enter upon the Facilities and perform <br />perform Concessionaire's failed obligations and Concessionaire shall <br />forthwith on demand reimburse City for its costs so incurred including <br />direct and indirect overhead costs as determined by the Executive <br />Director. <br />7.0 INSURANCE AND INDEMNIFICATION <br />7.1 INSURANCE COVERAGE. <br />A. Commercial General Liability. In addition to the Concessionaire's covenant to <br />indemnify and hold harmless City, Concessionaire shall obtain and furnish to City, a <br />policy of general public liability insurance, commercial general liability insurance <br />covering the Facilities and Concessionaire's property. The policy shall indemnify <br />Concessionaire and City, their officers, agents and employees, while acting within the <br />scope of their duties, against any and all claims arising out of or in connection with the <br />Facilities and Concessionaire's property, and shall provide coverage in not less than the <br />following amount: combined single limit bodily injury, personal injury and property <br />damage, liability, of at least $1,000,000 per occurrence. <br />B. Live Scan/Background Clearance. To maintain a safe environment, <br />Concessionaire will be held accountable for conducting background clearance (live -scan) <br />for all staff working at the facilities. <br />10 <br />25A-12 <br />
