PROFESSIONAL SERVICES AGREEMENT <br />FOR THIRD PARTY GENERAL LIABILITY CLAIMS ADMINISTRATION BETWEEN <br />THE CITY OF SANTA ANA AND ADMINSURE, INC. <br />This "Professional Services Agreement" between the City of Santa Ana and AdminSure, Inc. <br />("Agreement") is made and entered into this 4th, day of September, 2018, by and between the City of <br />Santa Ana, California, a California Municipal Corporation (the "City") and Adminsure, a California <br />corporation ("Administrator). The City and Administrator are sometimes hereinafter referred to <br />individually as a "Party" or collectively as the "Parties". The Parties enter into this Agreement with <br />reference to the following: <br />Recitals <br />A. City is in need of a qualified third party to whom to delegate the responsibilities and duties of <br />administering the City's self insured liability coverage program; <br />B. City issued a Request for Proposal ("RFP") for Third Party Administrator services for <br />worker's compensation and claims management. Administrator was one of the companies <br />that submitted a proposal and was ultimately selected as the successful vendor <br />NOW, THEREFORE, in consideration of the performance by the Parties of the covenants <br />and conditions herein contained, the City and Administrator hereby agree as follows: <br />Terms and Conditions <br />1. Administrator Services. Administrator agrees to perform any and all work necessary to <br />supervise and administer the liability programs for the City, represent the City in all matters related to the <br />investigation, adjustment, processing, supervision and resolution of liability claims for money damages <br />asserted by third parties against the City, and provide to the City during the term of this Agreement all the <br />services more particularly set forth in Section 2 below and in accordance with Administrator' proposal <br />submitted in response to City's RFP incorporated by reference herein (collectively, the "Services"). <br />2. Description of Services., The responsibilities of Administrator are divided into the <br />following categories: claims administration, litigation management, subrogation and reporting of claims <br />activities. Administrator agrees to perform these services in accordance with the Best Practices and <br />Performance Standards for Third Party Administrators. <br />a. Claims Administration. <br />(i) Administrator shall provide the City with sufficient qualified personnel, <br />including at least one senior claims adjuster, to efficiently and effectively meet the responsibilities as <br />defined below and any other duties incidental, or in addition, to those responsibilities. The senior claims <br />adjuster shall have a minimum of three years' experience in adjusting liability claims for public entities. <br />Administrator shall also provide a supervisor/account manager who shall oversee the servicing of the <br />City's claims.
