The City desires to retain a Consultant having special skill and knowledge in the field of <br />providing drought tolerant. and California native landscape design. <br />B. Consultant represents that it is willing to provide these services. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement landscape design and <br />consulting services at the Santa Ana Zoo described and set forth in the attached Scope of Services <br />identified as Exhibit A, attached hereto and incorporated by reference. Consultant will also <br />provide, when requested by City, on -site direction and guidance for implementation of landscape <br />design. <br />2. COMPENSATION <br />Consultant shall charge $120 an hour as outlined in the attached Exhibit A. The total costs <br />authorized pursuant to this Agreement shall not exceed fifteen, thousand dollars ($15,000:00) for <br />the term of the Agreement. <br />Consultant further agrees to contribute one hour of complimentary design services for <br />every one hour of billable design services throughout the term of this Agreement, <br />3. TERM <br />This Agreement shall commence on the date first written above and will terminate on <br />August 6, 2019, unless terminated earlier in accordance with Section 13 of this Agreement. This <br />Agreement can be extended by a writing signed by the City Manager and the City Attorney or her <br />designee. <br />Page 1 of 9 <br />
