INSURANCE NOT ON FILE <br />WORK MAY M -T PROCEED <br />CLERK OF COUNCIL <br />DATE: OCT 0 2 2010 <br />CONSULTANT AGREEMENT <br />A-2018-225 <br />>,cd ^'�'�� �'� �' THIS AGREEMENT is made and entered into this 18' day of September 2018, by and <br />between Westbound Communications, a California Corporation ("Consultant") and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. On July 5, 2018, the City issued Request for Proposal No. 18-058, by which it sought a <br />Consultant having special skill and knowledge in the field of community outreach and <br />promotional services related to the ReadyOC (ROC) Emergency Preparedness <br />Campaign and the "If You See Something, Say SomethingVA" (S4) Public Awareness <br />Campaign. <br />B. The City, acting through the Santa Ana Police Department in its capacity as a Core City <br />for the Anaheim/Santa Ana Urban Area under the FY17 :Urban Areas Security <br />Initiative, has applied for, received and accepted a grant from the U.S. Department of <br />Homeland Security, Federal Emergency Management Agency, through the State of <br />California, Office of Emergency Services, to enhance security and overall <br />preparedness to prevent, protect, mitigate, respond to, and recover from acts of <br />terrorism, hereinafter referred to as "the Grant." <br />C. Consultant submitted a responsive proposal on August 6, 201,$, and represents that it <br />has the necessary skills and experience to expand and enhance the current Ready OC <br />and "If You See Something, Say Something""'" Campaigns and existing websites <br />utilizing successful marketing strategies and outlets such as multi -media events, social <br />media venues, Public Service Announcement videos, radio station advertisements, and <br />business partnership groups. <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable, in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW TI3EREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform those services as set forth in Exhibit A. for the Ready OC <br />Campaign and Consultant shall perform those services as set forth in Exhibit B for the "If You <br />See Something, Say SomethingTM" Campaign. Consultant's proposal is incorporated by reference <br />as though £idly set forth herein. <br />1 ' <br />
