SERVICES AG42LLMENT <br />TO PROVIDE <br />GRANTPROTECT R FISCAL COORDINATOR SERVICES <br />`[THIS AGREEMENT, tirade and entered into this 21" day of August, 2018 by and between <br />WILLDAN HOMELAND SOLUTIONS, an operating division of WILLDAN GROUP, Inc., a California <br />corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hnereniziter "City"). <br />RECITALS <br />A. City, acting through the Santa Ana Police Department in its capacity as a Core City and lend <br />agency for the Anaheim J Santa Ana Urban Area under the Urban Areas Security Initiative <br />("UASI"), has applied for, received and accepted a grant from the federal Department of <br />Homeland Security, Office of Domestic Preparedness, through the State of California, Office of" <br />Emergency Services, to enhance countywide emergency preparedness, hereinafter referred to as <br />"the Grant". <br />B. The City desires to contract with an expert in providing Project and Fiscal Coordinator - Grant <br />Management Services. <br />C. Consultant represents that it has the necessary skills and experience to provide assistance in <br />developing in applications, invoicing and processing payment documents in compliance with <br />grant policies, and maintaining guidelines and polices required by grant providers. <br />D, In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable <br />in its field and that any services perfonned by Consultant tinder this Agreement will be performed <br />in compliance with such standards astray reasonably be expected train a professional consulting <br />firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the teens <br />and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SE12V10ES <br />Consultant shall develop and provide grant management services asset forth in Exhibit A, attached <br />hereto and incorporated by this reference. All services required hereunder shall conform in all respects to <br />standards and regulations for funding by the U.S. Department of Homeland Security, and the California <br />Office of Emergency Services. Consultant will be responsible for continued training to remain current on <br />the management and reporting obligations required of die various Homeland Security Grant funds. <br />2. COMPENSATION <br />It. City agrees to pay, and Consultant agrees to accept as total payment for its services as <br />hourly rate of $68,92, effective September 1, 2018, Additionally, Consultant shall be reimbursed for <br />training and travel which has been pre -approved, in writing, by City. The total sum that can be expended <br />during the teen of this Agreement (September 1, 2018 through August 31, 2019) shall not exceed $144,840 <br />annually. <br />b. Payment by City shall be made within thirty (30) days following receipt of proper invoice <br />evidencing work performed, subject to City accounting procedures. Payment need not be made for work <br />
