A-2017-148-01 INSURANCE NOT ON FILE WORK MAY NIT PROCEED CLERK OF COUNCIL DATEPCT 0 3 2010 SECOND AMENDMENT TO PROFESSIONAL SERVICES p Q AGREEMENT WITH MACLEOD WATTS, INC. THIS SECOND AMENDMENT TO AGREEMENT is entered into this 21st day of August, 2018, by and between MacLeod Watts, Inc., an Oregon corporation ("Consultant'), and the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. On 21 June 2016, the City entered into Agreement # N-2016-102 with Bickmore Associates, Inc. to provide actuarial valuation services for other post -employment benefits (OPER) and related matters for the term of one (1) year with an expiration date of June 20, 2017. B. On 20 June 2017, the City entered into a First Amendment (#A-2017-148) with Bickmore Associates to increase the scope of services, the compensation and term of the Agreement through June 30, 2019. The Agreement is stili in effect. C. City was notified by MacLeod Watts, Inc., that on June 11, 2018, the post -employment benefits practice of Bickmore Associates had joined with MacLeod Watts, Inc. D. In accordance with the terms and conditions of the Agreement, the parties desire to amend the Agreement to recognize that all services to be completed under the terms of this will be completed by MacLeod Watts, Inc. and payment for services rendered will be issued to MacLeod Watts, Inc. No other terms or conditions will be impacted by this amendment to the Agreement. THE PARTIES THEREFORE AGREE: Per the terms of Section 13, the City recognizes MacLeod Watts, Inc., as the Consultant for this Agreement. 2. Section IL NOTICE, shall be amended to reflect the new address for notification to the Consultant: MacLeod Watts, Inc. Attn: Kevin Watts Principal & Consulting Actuary 5200 SW Macadam, Suite 3'10 Portland OR 97239 Except as hereinabove modified in this Second Amendment, the terms of said Agreement and First Amendment shall remain in fall force and effect.
