If we do not exercise that right, the "insured" shall have the duty to Investigate, negotiate, and settle or defend the claim or "suit' and we will reimburse the "Insured" for the expenses reasonably Incurred in connection with the investigation, settlement or defense. Reimbursement will be paid in the currency of the United States of America at the rate of exchange prevailing on the date of reimbursement. The "Insured" shall provide us with such Information we shall reasonably request regarding such claim or .suit" and its Investigation, negotiation, and settlement or defense, The "Insured" shall not agree to any settlement of the claim or "suit" without our consent, We shall not unreasonably Withhold consent.
