mutually agreed to black -out dates. CONSULTANT shall advertise the clinics through <br />generally accepted media and shall provide clinic attendees with educational materials <br />regarding how to protect pets from contagious diseases. <br />CONSULTANT shall provide site fee rebates equal to five percent (5%) of the gross <br />sales, up to $800, and seven percent (7%) on sales $801 and over, for each clinic held in <br />the City. CONSULTANT may report and deduct the cost of facility and/or adjacent street <br />parking fees for CONSULTANT's staff and associated CITY dog licensing consultant staff. <br />Parking costs for clinic patrons may not be deducted and are not subject to reporting. Such <br />rebates shall be received by CITY on a quarterly basis with a clear statement indicating <br />the services provided, authorized parking deductions taken, and fees received at each clinic. <br />2. OBLIGATIONS OF THE CITY <br />a. CITY will advertise the vaccination clinic dates, times and locations in its <br />license renewal reminder notices mailed to pet owners. <br />b. CITY will disseminate flyers at City Hall and other CITY locations, for <br />upcoming vaccination clinics. <br />C. CITY agrees to post banners and posters in well -traveled CITY locations, <br />indicating the time, date and location of the clinics, the types of services offered and <br />general price information, in accordance with the Santa Ana Municipal Code. <br />d. CITY agrees to periodically publicize the vaccination clinics in public <br />advertising, such as public service announcements and printed calendar events in local <br />publications. <br />3. TERM <br />This Renewal Agreement shall be for an initial term of three years and shall commence on <br />October 1, 2018 and terminate on September 30, 2021, unless terminated earlier in <br />accordance with Section 12, below. This Renewal Agreement may be extended for an <br />additional period of two (2) years from October 1, 2021 to September 30, 2023, upon a <br />writing executed by the City Manager and the City Attorney. <br />4. INDEPENDENT CONTRACTOR <br />CONSULTANT shall, during the entire tern of this Renewal Agreement, be <br />construed to be an independent contractor and not an employee of CITY. This Renewal <br />Agreement is not intended nor shall it be construed to create an employer-employee <br />relationship, a joint venture relationship, or to allow CITY to exercise discretion or <br />control over the professional manner in which CONSULTANT performs the services <br />which are the subject matter of this Renewal Agreement; however, the services to be <br />2 <br />
