0 <br />City of Santa Ana <br />volunteers, based upon the work performed by the CONTRACTOR, its employees, <br />agents and/or authorized subcontractors under this Agreement, whether or not the <br />CONTRACTOR, its employees, agents and/or authorized subcontractors are <br />specifically named or otherwise asserted to be liable. Notwithstanding the foregoing, <br />the CONTRACTOR shall not be liable for the defense or indemnification of the CITY OF <br />SANTA ANA or OCFA for claims, actions, complaints or suits arising out of the sole <br />negligence or willful misconduct of the CITY OF SANTA ANA or OCFA. <br />The Mutual Aid Provider shall be required to include the same language in the Mutual <br />Aid Contract, indemnifying the City of Santa Ana and OCFA to the same degree as <br />Contractor. <br />3.14 COMPLIANCE WITH LAW <br />All services provided by Contractor pursuant to the Contract Documents must be <br />rendered in full. All compliance with all applicable federal, state, and local laws, rules, <br />statutes, and regulations. It will be Contractor's sole responsibility to determine which <br />federal, state, and local laws, rules, statutes, and regulations apply to the services to be <br />performed pursuant to the Contract Documents, and to maintain compliance at all times <br />throughout the Contract term. <br />3.15 RESPONSIBILITY <br />Except as may be specifically stated herein to the contrary, it shall be the <br />responsibility of Contractor to provide all Transportation Personnel with whatever <br />resources and equipment are necessary to perform the 9-1-1 Emergency <br />Transportation Service, and to otherwise satisfy all of the terms and conditions set forth <br />in the Contract Documents at all times during the Contract term. Except where it may be <br />specifically permitted in the Contract, Contractor may not use any outside ambulance <br />service providers or other resources to satisfy its obligations to provide 9-1-1 <br />Emergency Transportation Service to the City of Santa Ana and OCFA, without first <br />obtaining the prior written consent of the City of Santa Ana.
