Keane, d.b.a. River View Golf Company, hereinafter referred to as "Lessee" and the and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California, hereinafter referred to as "Lessor". A. The parties entered into this Novation of Lease on March 11, 1974, C`Lease"), by which the parties agreed to enter into a new lease agreement to define the mutual promises, covenants and conditions related to the use of certain property described in the Lease commonly known as River View Golf. The parties had originally entered into a lease that included the construction and operation of a golf course at the same location on November 2, 1964. B. The parties entered into a Modification to Novation of Lease on April 21,1975, and a Second Modification to Novation of Lease on May 5, 1975, for the construction of a bicycle path and required modifications to the property for a relocation of a tee area at River View Golf. C. The parties entered into a Third Modification to Novation of Lease (#A-96-014) on February 5, 1996, to amend the percentage rates for the Rent to the Lease and to extend the term of the Lease until April 30, 2026. D. The parties entered into a Fourth Modification to Novation of Lease (#A-2001-053) on March 5, 2001, in which the parties further amended the obligations regarding Rent to the Lease; reflected improvements to the property; and recognized the assignment of the Lease to Mary P. Keane on June 27, 1988. E. The parties now wish to amend the Lease to reflect a change of name and business structure for the Lessees from a partnership to a limited liability company. The Parties therefore agree: 1. The Lessee to the property shall be revised from Mary P. Keai e, d.b.a. Riverview Golf Company to River View Golf, LLC 2. Except as modified by this Fifth Modification to Novation of Lease, and all prior modifications, all terms and conditions of the Lease shall remain in full force and effect, [signature page to follow]
