Inc., a California corporation, with principal offices at 1517 W. <br />Braden Court, Orange, California ("CONTRACTOR"). City of Santa Ana and <br />CONTRACTOR may each be referred to as "Party" or collectively as the "Parties". <br />RECITALS <br />WHEREAS, CITY OF SANTA ANA issued a Request for Proposals (No. # 18- <br />059) on August 28, 2018, related to the provision of emergency transportation services <br />in the CITY OF SANTA ANA (the "RFP"). A copy of the RFP is attached hereto and <br />incorporated herein by this reference as Exhibit "A"; and <br />WHEREAS, in response to the RFP, CONTRACTOR submitted a Proposal dated <br />October 31, 2018 (the `Proposal"), a copy of which is attached hereto and incorporated <br />herein by this reference as Exhibit "B"; and <br />WHEREAS, CITY OF SANTA ANA desires to utilize the services of <br />CONTRACTOR to provide primary ambulance transportation services and other related <br />services in accordance with the terms of the RFP and applicable federal, state and local <br />laws; and <br />WHEREAS, CONTRACTOR is an ambulance provider fully licensed and <br />otherwise qualified to perform the work required by this Agreement, and was selected <br />by CITY OF SANTA ANA following evaluation of proposals submitted in response to the <br />RFP. <br />NOW, THEREFORE, in consideration of the mutual promises, covenants and <br />conditions herein contained, the Parties hereby agree as follows: <br />1. Contract Documents and Order of Precedence <br />A. This Agreement shall consist of the following documents: (a) this Agreement; <br />(b) the CITY OF SANTA ANA's RFP, (c) and the CONTRACTOR's Proposal. This <br />Agreement, the RFP, and the Proposal, shall be hereinafter collectively referred to as <br />the "Contract Documents". <br />The Contract Documents constitute the entire agreement between the Parties. <br />This Agreement contemplates that CONTRACTOR will do whatever is required to <br />perform the work in accordance with the terms of the Contract Documents and in <br />accordance with any applicable governmental laws and regulations, whether specifically <br />identified in the Contract Documents or not.
