23. Waiver <br />No waiver of any provision of this Agreement shall be effective unless in writing <br />and signed by a duly authorized representative of the party against whom enforcement <br />of a waiver is sought, referring expressly to this paragraph. The waiver of any right or <br />remedy in respect to any occurrence or event shall not be deemed a waiver of any right <br />or remedy in respect to any other occurrence or event, nor shall any waiver constitute a <br />continuing waiver. <br />24. Rights and Remedies are Cumulative <br />Except with respect to rights and remedies expressly declared to be exclusive in <br />this Agreement, the rights and remedies of the Parties are cumulative and the exercise <br />by either Party of one or more of such rights or remedies shall not preclude the exercise <br />by it, at the same or different times, of any other rights or remedies for the same default <br />or any other default by the other Party. <br />25. Cooperation <br />CONTRACTOR must cooperate with the CITY OF SANTA ANA and take all <br />actions necessary to ensure that all terms and conditions, and required performance <br />levels, set forth in the Contract Documents are satisfied at all times throughout the Term <br />of this Agreement. <br />26. Legal Action <br />In addition to any other rights or remedies, either Party may take legal action, in <br />law or in equity, to cure, correct, or remedy and default, to recover damages for any <br />default, to compel specific performance of this Agreement, to obtain injunctive relief, or <br />to obtain any other remedy consistent with the purposes of this Agreement. <br />27. Amendment <br />This Agreement may be amended only by the written mutual consent of CITY OF <br />SANTA ANA and CONTRACTOR. <br />28. Additional Services <br />CONTRACTOR shall not receive compensation for any services provided outside <br />the scope of the Contract Documents unless such additional services are approved in <br />writing by CITY OF SANTA ANA prior to CONTRACTOR performing the additional <br />services. It is specifically understood that oral requests or approvals of such additional <br />services, change orders, or additional compensation, and any approvals from the CITY <br />OF SANTA ANA, shall be barred and are unenforceable. <br />IF'7 <br />
