EMERGENCY AMBULANCE MUTUAL AID AND AUTOMATIC AID <br />TRANSPORTATION AGREEMENT <br />This Agreement is made and entered into this 3Clih day of May, 2015 by and between <br />Gare Ambulance Service (hereinafter "CARE'), Herren Enterprises, Inc.j d/b/a (Doctor's <br />Ambulance Service,{hereinafter 4DOCTOR'S") with reference to the following recitals: <br />WHEREAS, the parties hereto wish to confirm the terms of mutual aid and <br />automatic aid agreements in conjunction with emergency services within exclusive <br />operating and service areas in the County of Orange; and <br />WHEREAS, each party hereto wishes to utilize the services of the other from <br />time to time for backup emergency ambulance transportation within the specifications of <br />the Orange County EMS Emergency Ambulance Transportation Services Agreement <br />effective June 1, 2015 and <br />1. TERM <br />A. This Agreement shall become effective upon execution by the <br />parties hereto and shall continue in full force and effect for a period of twelve <br />months, unless terminated or extended pursuant to the terms hereinafter set <br />forth. This Agreement shall automatically renew for successive twelve month <br />periods, unless terminated by either party hereto as provided for herein. <br />B. Notwithstanding any other provision of this Agreement, either party <br />may terminate this Agreement, without cause, by providing the other party hereto <br />thirty (30) days prior written notice of their intent to terminate this Agreement. <br />2. MUTUAL AID SERVICE RESPONSIBILITIES <br />A. Each party agrees to provide and respond with, subject to <br />availability, mutual aid emergency ambulance transportation when requested by <br />the other party. Backup services Include, but are not limited to, locating an <br />ambulance at a specified standby location If requested. <br />B. Each party agrees to maintain all necessary licenses and permits <br />required to operate an ambulance service in the State of California and the <br />County of Orange and to be in compliance with all statutes, regulations, and <br />ordinances as may now be in effect or as may hereafter be implemented or <br />amended. <br />C. Each party, upon receiving a request for emergency ambulance <br />service from the other party, will provide the requesting party's dispatcher its <br />estimated time of arrival to the requested transport location. The backup <br />provider shall immediately notify the other if for any reason it determines that a <br />delay may occur which would prevent the requested party's ambulance from <br />arriving at the location within the quoted estimated time of arrival. <br />
