EMERGENCY AMBULANCE BACKUP <br />TRANSPORTATION AGREEMENT <br />This Agreement is made and entered into this I at day of May, 2004 by and between Care <br />Ambulance Service, a California corporation, (hereinafter "CARE"), Emergency <br />Ambulance Service, Inc., a California corporation, (hereinafter "EMERGENCY") with• . <br />reference to the following recitals: <br />WHEREAS, the parties hereto wish to confirm the terms of mutual aid and backup <br />agreements in conjunction with emergency services within exclusive operating and service <br />areas in the County of Los Angeles; and <br />WHEREAS, each party hereto wishes to utilize the services of the other from time <br />to time for backup emergency ambulance transportation within the specifications of the <br />Emergency. Ambulance Transportation Services Agreement and as effective May 1„ 2004 <br />and <br />NOW THEREFORE, IT IS ACCORDINGLY AGREED AS FOLLOWS: <br />1. TERM <br />A. This Agreement shall become effective upon execution by the parties <br />hereto and shall continue in full force and effect for a period of twelve months, unless <br />terminated or extended pursuant to the terms hereinafter set fortb. This Agreement <br />shall automatically renew for successive twelve month periods, unless terminated by <br />either party hereto as provided for herein. <br />B. Notwithstanding any other provision of this Agreement, either party <br />may terminate this Agreement, without cause, by providing the other party hereto <br />thirty (30) days prior written notice of their intent to terminate this Agreement. <br />2. SERVICE RESPONSIBILITIES <br />A. Each party agrees to provide and respond with, subject to availability, <br />backup emergency ambulance transportation when requested by the other party. <br />Backup services include, but are not limited to, locating an ambulance at a specified <br />standby location if requested. <br />B. Each party agrees to maintain all necessary licenses and permits <br />required to operate an ambulance service in the State of California and the County of <br />Los Angeles and to be in compliance with all statutes, regulations, and ordinances as <br />may now be in effect or as may hereafter be implemented or amended. <br />C. Each party, upon receiving a request for emergency ambulance service <br />from the other patty, will provide the requested party's dispatcher its estimated time or <br />arrival to the requested transport location. The backup provider shall immediately <br />notify the other party if for any reason it determines that a delay may occur which <br />would prevent the requested party's ambulance from arriving at the location within the <br />quoted estimated time of arrival. <br />
