City of Santa Ana <br />3.6 CONTRACT TERM <br />3.6.1 Term <br />The exclusive contract awarded pursuant to this RFP are for an initial five <br />(5) year term, ending at TBD. The contract shall automatically expire at the end <br />of the initial five year term, unless extended as provided below. <br />3.6.2 Contract Extension <br />Upon the mutual written agreement of the parties, the contract may be <br />extended with an optional three (3) year extension, plus a final optional two (2) <br />year extension (for a possible total term of 10 years). Successful past <br />performance during the initial contract period will be a critical factor in the <br />decision to grant an extension. The decision to either grant or deny a contract <br />extension(s) shall be final. The decision to grant an extension shall be made <br />solely by the City of Santa Ana. At the end of the initial contract term, or if <br />extended at the end of the extended term, the Contract awarded pursuant to this <br />RFP shall automatically terminate. <br />3.6.3 Termination. <br />Once the Agreement is executed, it may be terminated as follows: <br />A. The Agreement may be terminated by either party, with or without <br />cause, upon ninety (90) days prior written notice to the other party. <br />B. CITY OF SANTA ANA may terminate the Agreement for Cause by <br />providing CONTRACTOR thirty (30) days prior written notice of <br />termination for Cause and the factors constituting Cause. <br />CONTRACTOR will have thirty (30) days to cure any alleged breach, <br />prior to termination for cause under this section. <br />City of Santa Ana Page 124 <br />Fire/EMS Emergency Ambulance Transportation and Related Services <br />Request for Proposals: # 18-059 <br />August 28, 2018 <br />
