REQUEST FOR <br />COUNCIL ACTION <br />CITY COUNCIL MEETING DATE: <br />JANUARY 15, 2019 <br />TITLE: <br />APPROVE LEGAL SERVICES AGREEMENT WITH <br />HAIGHT BROWN & BONESTEEL, LLP, RELATED <br />TO ADMINISTRATIVE AND LITIGATION MATTERS <br />FOR GENERAL LIABILITY, PERSONNEL AND <br />POLICE MATTERS <br />(STRATEGIC PLAN NO. 1,3,4,5) <br />�ri1 1 <br />RECOMMENDED ACTION <br />CLERK OF COUNCIL USE ONLY: <br />APPROVED <br />❑ As Recommended <br />❑ As Amended <br />❑ Ordinance on 1s' Reading <br />❑ Ordinance on 2nd Reading <br />❑ Implementing Resolution <br />❑ Set Public Hearing For <br />CONTINUED TO <br />FILE NUMBER <br />Authorize the City Manager and Clerk of the Council to execute an on-call legal services <br />agreement with the law firm of Haight Brown & Bonesteel, LLP, ("HBB") related to administrative <br />and litigation matters concerning general liability, personnel and police matters for a three (3) <br />year term ending on January 14, 2022, with an option to extend the term for up to one (1) year, in <br />an amount not to exceed $250,000, including any extension period, subject to non -substantive <br />changes approved by the City Manager and the City Attorney. <br />DISCUSSION <br />The City Attorney's Office ("CAO") handles and manages a variety of transactional and litigation <br />matters. From time -to -time, the CAO will refer administrative and litigation matters to outside law <br />firms with specialized expertise. There is an ongoing need for legal services related to <br />administrative and litigated tort matters involving personnel, police, and general liability as these <br />matters often involve multiple parties, current and former employees and complex legal issues <br />where specific expertise is required to defend the City, its employees and its officials. <br />Pursuant to Santa Ana Municipal Code Section 2-807(e), professional service agreements are <br />exempt from the competitive bid process which generally provides for an analysis of competitive <br />alternative sources of supply or performance to maximize quality at minimum costs. In this <br />instance, the CAO has negotiated competitive rates with HBB for their services and HBB has <br />maintained and honored these rates since 2015. As to their expertise, with offices throughout <br />California, HBB brings to the City 80 years of experience in handling matters such as these for <br />public entities and has assisted the City Attorney's office and represented the City for such <br />services since 2015. HBB is currently assisting the City in existing litigation and the continuation <br />of their services will aid the City in its defense. <br />25B-1 <br />
