The City desires to retain Consultant to review the City's use of CivicRoc <br />software and provide options for its expanded use by the City's Parks, Recreation <br />and Community Services Agency. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agrement will be performed in compliance with such standards as may reasonably <br />be expected from a professional consulting farm in the field. <br />NOW THEREFOR , in consideration of the mutual and respective promises, and subject to <br />the terms and conditions hereinafter set forth, the parties agrgc as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall review the City's use of the CivicRee software and provide options for <br />its expanded use its set forth in Exhibit A and incorporated by reference in this <br />Agreement. <br />2, COMPENSATION <br />a. 'rho total sum to be expanded under this Agreement shall not exceed twenty-five <br />thousand ($25,000) dollars during the term of this Agreement, Consultant will bill at <br />the hourly rate of$ 175 tin hour. <br />b. Consultant will invoice City on a monthly basis, Payment by City shall be made <br />within forty five (45) days following receipt of proper invoice evidencing work <br />perd'otmed, subject to City accounting procedures. Payment need not be made for <br />work which fails to meet the standards of performance set forth in the Recitals which <br />may reasonably be expected by City, <br />3. TERM <br />The term of this Agreement shall commence on the date first written above and terminate <br />on June 30, 2020, unless terminated earlier in accordance with Section 13, below. <br />Page I of 8 <br />
