EXHIBIT 1 <br />LEGAL SERVICES AGREEMENT <br />WITH LIEBERT CASSIDY WHITMORE <br />THIS AGREEMENT is made and entered into this 5th day of March, 2019, by and between <br />Liebert Cassidy Whitmore, a Professional Law Corporation ("Attomeys") and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to employ Attorneys to assist the City in its labor negotiations. <br />Legal services will include but are not limited to providing legal advice, drafting of <br />Memorandums of Understanding, researching legal issues, attending labor <br />negotiation meetings, and providing negotiation services to the City. <br />B. Attorneys represent that they are licensed to practice law in the State of California, <br />have special experience and knowledge in the fields of employment and labor law <br />matters, in particular public agency labor negotiations and desire to undertake said <br />services. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Attorneys will assist and advise the Executive Director of Human Resources Department <br />in transactional and negotiation services related to the City's labor negotiations with any and all <br />City labor organizations when and as requested by the Executive Director of Human Resources. <br />Attorneys accept said retention and agree to perform, in a timely and efficient manner all such <br />services as may be requested by the City. Attorneys shall confirm their acceptance of work <br />requested by the City in writing by e-mail or letter. <br />2. COMPENSATION <br />a. City shall compensate Attorneys based on actual amount of time spent in <br />performing the services including for reasonable travel time. Partners will be billed at the rate of <br />$350 an hour. Time will be billed in 1/10`x' of an hour increments. Attorneys will submit a monthly <br />statement, specifying the services performed, dates and number of hours and itemization of <br />expenses related thereto. <br />b. The total sum to be expended under this Agreement shall not exceed.$110,000 <br />during the term of this Agreement. Up to $10,000 of the funds will be used to pay outstanding <br />invoices from the previous agreement between the parties for legal services for labor negotiations <br />set forth in City Agreement # 2017-357 dated December 19, 2017. <br />2$F-3 <br />
