Exhibit 1 <br />CONSULTANT AGREEMENT <br />THIS AGREEMENT is made and entered into this 5th day of March, 2019 by and <br />between Cooperative Personnel Services dba CPS HR Consulting, a joint powers authority of the <br />State of California (hereinafter "Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant and having special skill and knowledge in <br />the field of performing executive management recruitments for public agencies. <br />B. On June 20, 2017, City and Consultant entered into Agreement N-2017-113 <br />whereby Consultant conducted a recruitment for City for the position of City <br />Manager. That Agreement provided that, if the candidate selected for the position <br />did not remain in the position for a two-year period, Consultant would repeat the <br />recruitment charging only for incurred expenses. <br />C. Consultant represents that it is able and willing to provide to the City executive <br />management recruitment services, specifically, for the position of City Manager. <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform an executive management recruitment for the position of the <br />City's City Manager as outlined in the attach proposal (Exhibit A) which is incorporated herein <br />by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit A. Consultant acknowledges that it will charge only for <br />expenses incurred and not fees pursuant to the terns of Agreement N-2017-113 between the <br />parties. The total sum to be expended under this Agreement shall not exceed $4,000 during the <br />term of this Agreement. <br />b. Payment by City shall be made within thirty (30) days following receipt of proper <br />invoice evidencing work performed, subject to City accounting procedures. Payment need not <br />25b-3 <br />
