Exhibit 1 <br />AGREEMENT WITH A & H REFRIGERATION, INC. TO REPLACE <br />AND INSTALL REFRIGERATION AND FREEZER UNITS <br />THIS AGREEMENT is made and entered into on this 10 day of March, 2019 by and between <br />A & H Refrigeration, Inc., a California corporation ("Contractor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California ("City"). <br />RECITALS <br />A. On October 10, 2018, the City issued a Request for Proposal #18-086 ("RFP") seeking a <br />contractor to replace and install refrigerator and freezer units at the Santa Ana Police <br />Department's evidence room. The City issued an addendum to the RFP extending the <br />deadline for proposals to November 9, 2018. After the City did not receive any proposals <br />from vendors, the City invited 3 qualified vendors and, again, requested proposals. <br />B. On December 21, 2018, Contractor submitted a responsive proposal that was selected by <br />the City. Contractor represents that it is able and willing to provide the services described <br />in the scope of work that was included in the RFP and attached hereto as Exhibit A. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter. set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Contractor shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required <br />to fully and adequately complete the services described and set forth in Exhibit A, <br />attached hereto and incorporated by reference. Contractor's proposal shall also be <br />incorporated by reference as though fully set forth herein. <br />b. The parties agree that the services described in this Agreement shall commence upon <br />a date to be determined, and confirmed in writing, by the parties. All work and the <br />closing statements or invoices shall be completed and delivered to the City within the <br />term of this Agreement as noted in Section 3, below. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit B. The total amount to be expended <br />during the term of this Agreement shall not exceed $153,750. The sum of this amount <br />is comprised of the base amount provided in Option 1 of Exhibit B for $128,750 and a <br />Page 1 of 8 <br />25C-5 <br />
