EXHIBIT 2 <br />46. WAIVER OF RIGHTS (5.6 S) <br />The failure of Sublessor or County to insist upon strict performance of any of the terms, conditions, and <br />covenants in this Sublease shall not be deemed a waiver of any right or remedy that Sublessor or County may <br />have, and shall not be deemed a waiver of any right or remedy for a subsequent breach or default of the terns, <br />conditions, and covenants herein contained. <br />47, HOLDING OVER (5.7 S) <br />In the event County shall continue in possession of the Premises after the term of this Sublease, such <br />possession shall not be considered a renewal of this Sublease but a tenancy from month to month and shall be <br />governed by the conditions and covenants contained in this Sublease, In no event shall the County hold over <br />beyond the term of the Master Lease, which currently is set to expire in June 30, 2023, but could be extended. <br />48. HAZARDOUS MATERIALS (5.8 S) <br />Sublessor warrants that, to the best of Sublessor's knowledge, the Premises is free and clear of all hazardous <br />materials or substances in violation of applicable laws. <br />49. EARTHQUAKE SAFETY (5.9 S) <br />Sublessor hereby confirms that to the best of Sublessor's knowledge, the Premises was in compliance with <br />all applicable seismic safety regulations and building codes at the time of construction. <br />50. QUIET ENJOYMENT (6.0 S) <br />Sublessor agrees that, subject to the terms, covenants and conditions of this Sublease, County may, upon <br />observing and complying with all terms, covenants and conditions of this Sublease, peaceably and quietly <br />occupy the Premises. <br />51. ADMINISTRATIVE COSTS (6.18) - intentionally ondued <br />52. WAIVER OF JURY TRIAL (6.2 S) - Intentionally omitted <br />$3. GOVERNING LAW AND VENUE (6.3 S) <br />This agreement has been negotiated and executed in the State of California and shall be governed by and <br />construed under the laws of the State of California, In the event of any legal action to enforce or interpret this <br />agreement, the sole and exclusive venue shall be a court of competent jurisdiction located in Orange County, <br />California, and the Parties hereto agree to and do hereby submit to the jurisdiction of such court, <br />notwithstanding Code of Civil Procedure section 394, <br />$5. TIME (6.4 S) <br />Time is of the essence of this Sublease. <br />56.
