Adoption of Resolution to Join the Orange County Housing Finance Trust <br />June 4, 2019 <br />Page 3 <br />representation from city managers, housing authorities, the County CEO, law <br />enforcement, and the public. <br />The selection of the city representatives shall be made by the City Selection Committee. Cities <br />who are members of the Trust are eligible to be members of the Board. Any Orange County city <br />is eligible to be a member of the Trust. <br />In addition to the above regarding the Governing Board, the JPA document expresses that <br />(among other things): <br />• The Trust can have staff level assistance, but such assistance shall come from <br />contractors; <br />• Members of the Trust can leave at any time; <br />• Members of the Trust cannot have, as a condition of membership, a requirement to <br />provide any number of housing units; <br />• The Trust shall have an annual report to maximize transparency; and <br />• The Trust cannot issue debt. If at a later date the Trust governing board wishes to pursue <br />debt, a recirculation and amendment of the JPA document is required. <br />The governing board reflects a compromise between the County and the city officials that <br />negotiated this early iteration of the Trust. The County argued that it was entitled to near equal <br />representation on the Board, given that the County provides such a significant percentage of <br />funding. The city officials argued that cities are the likely sites for the new housing, and <br />therefore cities should have more seats. The negotiators discussed the overall size of the <br />Governing Board — talking about seven, nine, eleven, and even thirteen members. In the end, <br />the nine -member Board (with a 5-4 City -County split) was agreed to. <br />The nine member Board means that many cities who are Trust members will not have a seat on <br />the Governing Board. All parties are intended to have a seat at the table in terms of discussions, <br />debates, and project by project reviews. <br />Draft Bylaws. From November to December 2018, a Working Group of Orange County local <br />elected officials and staff worked to develop draft bylaws (along with Vision and Mission <br />Statements) that the Trust Board would consider adopting. These are included as Exhibit 3. <br />The draft bylaws, among other things, set forth more specificity as to the Governing Board (in <br />terms of population), meeting requirements, a conflict of interest section, and more. <br />The Working Group included Supervisors Andrew Do and Shawn Nelson, city elected <br />representatives Jennifer Fitzgerald (Fullerton), Wendy Bucknum (Mission Viejo), Barbara <br />Delgleize (Huntington Beach), Fred Whitaker (Orange), and city management representatives <br />Kristine Ridge (Santa Ana), Lori Ann Farrell (Huntington Beach), Laurie Murray (La Palma), and <br />retired city managers Allan Roeder and Dave Kiff. County representatives included CEO Frank <br />Kim, Director of Care Coordination Susan Price, and Orange County Housing Authority <br />Executive Director Julia Bidwell. <br />Draft bylaws may differ slightly from the language in the JPA (especially in regards to the <br />55C-3 <br />
