THIRD AMENDMENT TO AGREEMENT TO <br />PROVIDE SECURITY GUARD SERVICES <br />THIS THIRD AMENDMENT TO AGREEMENT is made and entered into this 18th day <br />of June, 2019, by and between Universal Protection Service, LP, dba Allied Universal Security <br />Services, a California limited partnership ("Contractor'), and the City of Santa Ana, a charter <br />city and municipal corporation, organized and existing under the Constitution and laws of the <br />State of California ("City"). <br />RECITALS <br />A. The City and Contractor entered into an Agreement to Provide Security Guard <br />Services, No. A-2017-130, dated May 16, 2017, for Contractor to provide <br />unarmed security guard services for various City facilities ("Agreement"). <br />B. Thereafter, the City and Contractor entered into a First Amendment to Agreement <br />to Provide Security Guard Services with U.S. Security Associates, No. A-2017- <br />351, to provide additional funding to the contingency amount to provide for <br />additional temporary services under said Agreement. <br />C. On May 21, 2019, the parties entered into a Second Amendment to the Agreement <br />to provide security guard services to the City's Work Center and to increase the <br />compensation set forth in the Agreement to cover these additional services. The <br />parties also amended said Agreement to reflect the change of Contractor's name <br />from U.S. Security Associates to Universal Protection Service, LP, dba Allied <br />Universal Security Services, after Allied Universal Security Associates purchased <br />and merged with U.S. Security Associates. <br />D. In accordance with the terms and conditions of said Agreement, the Parties wish <br />to amend said Agreement to expand the scope of services to include roving <br />patrols for designated City Parks, bike trails and portions of Santiago Creek and <br />increase the total compensation of said Agreement to pay for these additional <br />services. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions of said Agreement, except as herein modified, the parties <br />agree as follows: <br />Section I, SCOPE OF SERVICES, shall be amended to add roving patrols by <br />Contractor of five (5) designated City Parks in each Ward of the City for a total of <br />thirty (30) Parks, city owned bike trails, and portions of Santiago Creek pursuant <br />to the scope of work set forth in the attached Exhibit A -I which will supplement <br />the existing scope of services for the Agreement set forth in Exhibit A to the <br />original Agreement as amended. <br />Page I oft <br />
