Member in performance of any of its obligations under this Agreement, or any act <br />or negligence of such Member or any of its agents, contractors, servants, <br />employees or licensees with respect to this Agreement. No indemnification is <br />made under this Section for claims, losses or damages, including legal fees and <br />expenses, arising out of the willful misconduct, negligence or breach of duty <br />under this Agreement by the Authority or a Member or their officers, employees, <br />agents or contractors. <br />17.2 The Representatives to the Governing Board and to each of the Risk Management <br />Programs and any officer, employee, contractor, or agent of the Authority shall <br />use ordinary care and reasonable diligence in the exercise of their power and in <br />the performance of their duties under this Agreement. <br />17.3 Funds of the Authority may be used to defend, indemnify, and hold harmless the <br />Authority and any member of the Governing Board, any member of a Risk <br />Management Program, and any employee of the Authority for their actions taken <br />within the scope of their duties while acting on behalf of the Authority. Nothing <br />herein shall limit the right of the Authority to purchase insurance to provide such <br />coverage as is hereinabove set forth. <br />ARTICLE 18. NOTICES. <br />18.1 Notices to each Member under this Agreement shall be sufficient if mailed to its <br />respective address on file with the Authority. Any Member may designate any <br />other address in substitution of the foregoing address to which such notice will be <br />given at any time by giving five days written notice to the Authority and all other <br />Approved by the Governing Board October 13, 2004 <br />14 <br />55E-20 <br />
