WURANCE NOT ON FILE <br />WORK MAY NUT PROCEED <br />CLERK OF COUNCIL <br />DATE: JUL D 8 2019 <br />!4N �) <br />AGREEMENT TO PROVIDE LIFEGUARD SERVICES <br />N-2019-122 <br />C,UKLV"7 THIS AGREEMENT is made and entered into this 26th clay of June, 2019 by and between <br />Blueray Management, LLC"., a California Limited Liability Company ("Contractor"), and the City <br />of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City") <br />RECITALS <br />A. The City desires to retain a contractor, having special skill and knowledge in the <br />field of public pool management including but not limited to staffing, training, and <br />safety services ("lifeguard services") for the City's Salgado Pool and El Salvador <br />Pool (collectively "City Pools"), <br />B. Contractor represents that Contractor is able and willing to provide such services <br />to the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject <br />to the teens and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall manage all City foots' operations, including but not limited to, staffing <br />(lifeguards, aquatic supervisors) and training of staff as more fully discussed in Exhibit A and <br />Contractor's proposal issued June 12, 2019 and attached hereto and incorporated by reference <br />herein. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />under this Agreement, the rates and charges identified in Contractor's proposal, <br />Exhibit B, attached hereto and incorporated by reference herein. 'The total sum to <br />be expended under the tern of this Agreement shall not exceed forty thousand and <br />eight hundred and sixty-three dollars and seventy-five cents ($40,863.75). <br />Hourly fees will be as follows: <br />#721v4 <br />
