REIMBURSEMENT AND INDEMNIFICATION AGREEMENT <br />BETWEEN THE CITY OF SANTA ANA AND <br />FOR THE PAYMENT OF FEES AND <br />COSTS RELATED TO CONTRACT ENVIRONMENTAL, <br />LEGAL AND ENGINEERING SERVICES FOR THE <br />DEVELOPMENT LOCATED AT <br />IN SANTA ANA RELATED TO <br />ENVIRONMENTAL DOCUMENTATION <br />This Agreement ("Agreement") is entered into as of , by and <br />between the CITY OF SANTA ANA, a charter city and municipal corporation, organized <br />and existing under the Constitution and laws of the State of California ("City"), and <br />, ("Developer'), who agree as follows: <br />1. Recitals. This Agreement is made with reference to the following facts <br />and circumstances: <br />Developer is seeking entitlement to certain real property consisting of a <br />located at , in the City of Santa Ana ("Property") <br />(APN # <br />B. Developer has filed applications to develop the Property with a <br />project and street improvements (the "Project"), including <br />approximately units, and square feet of commercial space <br />and parking spaces. The discretionary applications may consist of a General <br />Plan Amendment (GPA), Amendment Application (AA), Zoning Ordinance Amendment <br />(ZOA), Variances, Site Plan Review, Conditional Use Permit, and Vesting Tentative <br />Map. <br />C. City does not have personnel with sufficient expertise to prepare or review <br />the Environmental Document and related studies, reports and analyses for the project. <br />In order for City to process the Project, City is in need of contracting with an <br />environmental consultant. In addition to the environmental consultant, processing the <br />Project will also require work to be performed by the City Attorney's Office and the City <br />Engineer. The work to be performed by such persons and firms in processing the <br />Project is collectively referred to herein as the "Services." <br />D. City believes it is in the public interest for Developer to pay for such <br />Services. <br />E. Developer desires to move forward with the processing of its Project <br />subject to the reimbursement obligations set forth herein. <br />2. Agreement to Pay for Services. <br />Developer agrees to pay for all professional costs and expenses related to the <br />Services as provided for in this Agreement, even though the actual amounts may be <br />1 <br />55G-5 <br />
