Authorize the City Manager to execute a Second Exclusive Negotiation Agreement with <br />THRIVE Santa Ana, Inc., for 1901 West Walnut Street, Santa Ana, for the period of one <br />hundred and eighty (180) consecutive calendar days commencing on September 17, 2019, <br />subject to non -substantive changes approved by the City Manager and City Attorney. <br />2. Authorize the City Manager to negotiate a Disposition and Development Agreement with <br />THRIVE Santa Ana, Inc., for the development of a microfarm at 1901 West Walnut Street, <br />Santa Ana. <br />DISCUSSION <br />THRIVE Santa Ana, Inc. (THRIVE), a Community Land Trust (CLT), established in 2017, was <br />formed by local nonprofit leaders and residents to acquire land for the purposes of providing <br />community benefits, such as affordable housing, parks, urban microfarms, and marketplaces for <br />small businesses. A CLT is a community based nonprofit dedicated to the stewardship of land <br />for the permanent benefit of local residents. As a CLT, THRIVE would work with local residents <br />to determine the use of acquired land based on the needs of the local community. <br />On May 1, 2018, the City Council approved an Exclusive Negotiation Agreement (ENA) with <br />THRIVE for the potential future development of the 0.38-acre property located at 1901 West <br />Walnut Street, Santa Ana, CA 92703. During the ENA period, which expired on April 26, 2019, <br />THRIVE's completed milestones included, but were not limited to, selecting the use for the site <br />as a microfarm and submission of an initial pro forma, Phase I Environmental Assessment, site <br />plans, and a community benefits report. <br />The Second ENA (Exhibit 1) would provide additional time for THRIVE to finalize site plans, <br />provide proof of ability to obtain financing for the project, and negotiate a Disposition and <br />60A-1 <br />
