!NOu ANGL iVOT ON FILE <br />WORK MAY NOT PROCEED N-2o19-227 <br />CLERK OF "'ff f 2 A 2019 <br />ttr�y,, DATE: <br />d AGREEMENT BETWEEN THE CITY OF SANTA ANA AND <br />THE AMERGROUP INC DBA AMERICAN SECURITY GROUP FOR INSTALLATION <br />OF ZOO TURNSTILES <br />THIS AGREEMENT is hereby made and entered into this Ist day of October, 2019, by and <br />between the City of Santa Ana, a charter city and municipal corporation organized and existing <br />under the Constitution and laws of the State of California ("City"), and Amergroup, Inc. a <br />California corporation dba American Security Group ("Contractor"). <br />RECITALS <br />A. City issued a request for Proposals ("RFP") No. 19-065 for Zoo entry turnstiles on <br />June 27, 2019. Contractor submitted a proposal in responsive to the RFP and was <br />its proposal was selected. <br />C. The City desires to retain Contractor to install access control entry turnstiles at the <br />Santa Ana Zoo ("Project"), <br />B. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall demolish the current entry turnstiles for the Santa Ana Zoo and install <br />three (3) Alvarado turnstiles and two (2) swing gates, system control panel, a four (4) lane <br />pushbutton controller, and one (1) waist height filler rail. Contractor shall provide all equipment <br />including turnstiles, pushbutton controller, cabling; materials; and labor for both installation and <br />programming as outlined in more detail in the attached Exhibit A, incorporated herein as though <br />set forth fully. Contractor will also comply with all of the specifications and requirements set <br />forth in the City's RFP No. 19-065, incorporated herein as though set forth fully. It is <br />understood that, Contractor will utilize a third party electrical contractor as outlined in <br />Contractor's proposal, <br />2. COMPENSATION <br />a, City agrees to pay, and Contractor agrees to accept as total payment for its services, <br />the fees and rates set forth in Exhibit A of this Agreement. The total sum to be <br />expended under this Agreement shall not exceed sixty-two thousand eight hundred <br />and eight dollars and ninety cents ($62,808.90) for the entire term of this Agreement. <br />This amount includes the proposal amount of $55,310.1 l plus a 10% contingency to <br />Page 1 of 10 <br />
