FOR ZOO STAFF TRAINING <br />THIS AGREEMENT is hereby made and entered into this 28th day of August, 2019, by and <br />between the City of Santa Ana, a charter city and municipal corporation organized and existing <br />under the Constitution and laws of the State of California ("City"), and -Barbara's Force Free <br />Animal.Training dba Good Bird, Inc. a Texas corporation ("Consultant"). <br />RECITALS <br />A. The City desires to retain Consultant to provide staff training and development for <br />zoo staff: <br />B. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide as needed staff training and development for zoo staff with the <br />objective of developing staff members' skills and knowledge and achieving specific behavior <br />goals for the animals in the Zoo's collection as outlined in more detail in the attached Exhibit <br />"A." Currently, training is scheduled for November 12-14, 2019, but these dates are subject to <br />change upon the mutual agreement of Consultant and the Zoo Director. Additional training dates <br />can be scheduled pursuant to mutual agreement of Consultant and the Zoo Director. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the fees and rates set forth in Exhibit A of this Agreement. The total sum to be <br />expended under this Agreement shall not exceed eighteen thousand dollars ($18,000) <br />for the entire term of this Agreement. The annual not to exceed amount for this <br />Agreement is nine thousand dollars ($9,000). <br />b. City will be invoiced by Consultant on a quarterly basis. Payment will be made <br />within forty-five (45) days of the date of the invoice. <br />3. TERM <br />The term of this Agreement shall commence on October 1, 2019 and terminate on <br />September 30, 2021, unless terminated earlier in accordance with Section 13, below. <br />Page l of 9 <br />
