<br />When Seller undertakes to assemble and/or to Install the products, the Buyer shall take care at its own costs of any possible help
<br />necessary for Seller's assemblers including, without limitation, movers, electricians, unskilled workers, and electric and
<br />telecommunication connections.
<br />a.Chemlmaee Products Seller warrants to the customer that for a period of 1 year from the date of installation, equipment
<br />manufactured by us shall be free from defects in materials and workmanship for a period of one (1) year from the date of shipment of
<br />such equipment. Services performed by Seller in connection with such equipment, such as site training and installation services
<br />relating to the equipment, shall be free from defects for a period of one year from the date of shipment. If defects in materials or
<br />workmanship are discovered within the applicable warranty period as set forth above, Seller shall, at its sole option a) in the case of
<br />equipment, either repair or replace the equipment or b) In the case of defective services, reperform such services. Seller shall have
<br />the option of replacing equipment with substitute products or new or used replacement parts.
<br />Warranty shall be void due to any of the following: a) If the product has been opened, modified, altered, or repaired, except by Seller
<br />or its authorized agents, b) if the product has not been Installed or maintained or used in accordance with instructions provided by
<br />Seller, c) misuse, abuse, accident, thermal or electrical irregularity, theft, vandalism, fire, water, qr other peril, d) damage caused by
<br />containment and/or operation outside the environmental specification of the product, e) connection of the product to other systems,
<br />equipment, or devices or use with other software (other than software specifically provided by Seller), or q removal cr alteration of
<br />identification labels on the product or its parts.
<br />b.Adani Products. The Buyershall advise ADANI of any Inconformity of the received products to the speciFlcations mentioned in the
<br />contract within 14 (fourteen) days from the date of receptlon of the products. ADANI shall examine the received claim and respond to
<br />It within 7 (seven) days. All products manufactured by ADANI have a warrantyof one year from the date of delivery, if not declared
<br />otherwise In the Commercial Offer. The warranty period includes all parts, labor, and travel expenses. Typical response time is 2-4
<br />hours and typical onsite response time is less than 24 hrs. Semi-annual preventative maintenance and radiation safety inspections are
<br />Included. Shipping costs of any parts or equipment needed for repair/maintenance are the sole responsibility of ADANI.
<br />The warranty stated here above shall cover exclusively and according to ADANI's choice, the exchange or repair in its factories or
<br />those of a third party duly authorized by ADANI, of products or spare parts recognized as faulty by ADANI after being sent back to
<br />ADANI or a third party duly authorized by ADANI.
<br />The warranty shall not cover defects due to negligence, Improper use or maintenance, accidental break, as well as any repair
<br />operations carried out by the Buyer or by a third party not authorized by ADANI.
<br />c.EXCEPTAS SET FORTH HEREIN, NO OTHER WARRANTIES OR REMEDIES, WHETHER STATUTORY, WRITTEN, ORAL, EXPRESSED,
<br />IMPLIED (INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE,
<br />INCLUDING BUT NOT LIMITED TO PUBLISHED DETECTION SPECIFICATIONS OR ACCURACY OF DETECTIONS) OR OTHERWISE, SHALL
<br />NOT APPLY. IN NO EVENT SHALL SELLER HAVE ANY LIABILITY FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT OR
<br />CONSEQUENTIAL LOSSES OR DAMAGES OF ANY NATURE WHATSOEVER, WHETHER AS A RESULT OF BREACH OF CONTRACT, TORT
<br />LIABILITY (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE. REPAIR OR REPLACEMENT OF THE EQUIPMENTDURING THE
<br />APPLICABLE WARRANTY PERIOD IS YOUR SOLE AND EXCLUSIVE REMEDY UNDER THIS WARRANTY.
<br />IN NO EVENT SHALL SELLER, MANUFACTURER, OR'I'HEIR SUBCONTRACTORS HAVE ANY LIABILITY TO BUYER, WHETHER AS A RESULT
<br />OF BREACH OF CONTRACT, TORTUABILITY(INCLUBING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER ARISING
<br />BEFORE OR AFTER DELIVERY OF THE GOODS AND/OR PERFORMANCE OF THE SERVICES FURNISHED UNDER THE SALES CONTRACT,
<br />FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PENAL LOSS OR DAMAGE OF ANY NATURE
<br />WHATSOEVER, INCLUDING WITHOUT I-IMITA-PION, DAMAGE TO OR LOSS OF USE OF PLANT OR EQUIPMENT, EXPENSES INVOLVING
<br />INTEREST CHARGES OR COST OF CAPITAL, LOSS Or PROFITS OR REVENUES, COST OF SUBSTITUTE EQUIPMENT, FACILITIES OR
<br />SERVICES, OR CLAIMS OF BUYERS OR CUSTOMERS.
<br />Buyer may not cancel any order, or portion thereof, after shipment, Buyer may not reschedule or change any order, or portion
<br />thereof, without Seller's prior written consent.
