This Agreement # K9110010 hereinafter referred to as "CONTRACT," is made and
<br />entered into as of the date fully executed by and between the Goodwill Industries of Orange County
<br />(GIOC), California, a California nonprofit public benefit corporation, hereinafter referred to as
<br />"GIOC," and the Santa Ana One Stop (SAOS), DUNS Number 07-815-6551, with a place of
<br />business at GIOC (Payment/Ordering address at 410 North Fairview Street, Santa Ana, CA
<br />92703), with GIOC and SAOS sometimes referred to as "PARTY," or collectively as "PARTIES."
<br />RECITALS
<br />WHEREAS, Congress enacted the "Workforce Investment Act of 1998," subsequently
<br />reauthorized on July 22, 2014 as the Workforce Innovation and Opportunity Act ("WIOA"),
<br />hereinafter referred to as "the Act," to provide workforce investment activities, through statewide
<br />and local workforce investment systems, that increase employment, retention and earnings of
<br />participants, and increase occupational skill attainment by participants, and, as a result, improve
<br />the quality of the workforce and enhance the productivity and competiveness of the Nation;
<br />Workforce Investment Act citations, rules, and regulations cited herein shall continue to be
<br />implemented until such time Workforce Innovation and Opportunity Act issued guidance and/or
<br />regulations supersede such citations, rules, and regulations; and
<br />WHEREAS, the Employment Development Department (EDD), in coordination with the
<br />California Workforce Development Board and the California Labor and Workforce Development
<br />Agency, announced the availability of WIOA funds for the Veterans' Employment -Related
<br />Assistance Program (VEAP) for the program years 2019-2021; and
<br />WHEREAS, GIOC, responded to a Solicitation for Proposals (SFP) for VEAP program
<br />year 2019-2021; and
<br />WHEREAS, the VEAP SFP required a local WIOA partnership/collaboration which
<br />included the SAOS; and GIOC responded to a Request for Proposal for FY 2019-2021 and was
<br />deemed eligible for funding; and
<br />WHEREAS, GIOC responded to the SFP, with SAOS named as a partner responsible for
<br />administration, participant services, recruitment, case management, among other responsibilities;
<br />and
<br />WHEREAS, GIOC, having been awarded VEAP program year 2019-2021 grant funding,
<br />and acting as the Administrator of the Act grant funds, is empowered to make a portion of the
<br />funds available pursuant to the Act (hereinafter referred to as "grant funds") to SAOS, for the
<br />purpose of implementing the provisions of VEAP under the provisions of WIOA Act; and
<br />WHEREAS, GIOC approved an allocation of S 60,000.00 (60,000 Dollars and 00 Cents)
<br />in Program funding to SAOS for Fiscal Year 2019-2021 to carry out certain program
<br />services/activities; and
<br />WHEREAS, SAOS, in order to receive grant funds, is agreeable to the terms and
<br />conditions hereinafter set forth.
