aaal 3r01 <br />SECOND AMENDMENT TO PROFESSIONAL SERVICES <br />AGREEMENT WITH ITERIS, INC. <br />TIES SECOND AMENDMENT to the above -referenced agreement is entered into on December <br />3, 2019, by and between Iteris, Inc. ("Consultant'), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. A-2015-056, dated December April 21, 2015, by <br />which Consultant agreed to perform traffic signal synchronization and related services <br />("Agreement"). <br />B. On January 19, 2016, the parties entered into First Amendment No. A-2016-08, by which the <br />Agreement was amended to expand the scope of services, to increase the maximum <br />expenditure under the Agreement, and to extend the term through December 31, 2019. <br />C. The Agreement remains in effect, and the Parties now wish to further extend the term to permit <br />completion of the services. <br />The Parties therefore agree: <br />Term, is amended to extend the term of the Agreement for the additional one-year period <br />ending December 31, 2020. <br />2.
