ZaZ o <br />CLERK OF COUNCIL <br />DATE: <br />O w-(0 54vik c uevaJ di FIRST AMENDMENT TO MASTER EQUIPMENT SERVICES <br />AGREEMENT WITH VACANT PROPERTY SECURITY LLC <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into this 19th day of <br />November, 2019, by and between Vacant Property Security, LLC, a Delaware limited liability <br />company ("VPS"), and the City of Santa Ana, a charter city and municipal corporation duly organized <br />and existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. On December 5, 2017, the City entered into Agreement #A-2017-332 ("Agreement") with <br />VPS to provide the placement of metal security doors, screens, and other security equipment <br />on buildings as directed by the City. The term of the Agreement was for a one-year period <br />until December 4, 2018, with an option for the parties to extend for an additional year. <br />B. On December 4, 2018, the term of the Agreement was extended for an additional year by <br />operation of an extension letter (A-2017-332-01). The term of the Agreement is still current <br />and set to expire on December 4, 2019, <br />C. The parties seek to amend the Agreement to extend the term of the agreement and increase <br />the overall compensation to compensate for needed City security services during the extended <br />term. <br />THE PARTIES THEREFORE AGREE: <br />1. Purpose and Understanding, Section 2.2, shall be amended to extend the term of said <br />Agreement for an additional one (1) year period until December 4, 2020. The parties <br />shall have the option to agree to a one-year extension, exercisable by a writing by the City <br />Manager, the City Attorney, and VPS. <br />2. Prices & Payment, Section 4.10, shall be amended to increase compensation by $55,000. <br />Therefore, the total amount of the Agreement shall not exceed $170,000 to pay for the <br />additional services during the extended term. <br />3. Except as hereinabove modified, the terms and conditions of said Agreement remain <br />unchanged and in full force and effect. <br />[signature page to follow] <br />Page 1 of 2 <br />
