Exhibit 7 <br />AGREEMENT FOR PEST CONTROL AND WEED ABATEMENT SERVICES <br />THIS AGREEMENT is made and entered into this 21st day of January, 2020 by and <br />between Pest Options, Inc, a California Corporation ("Contractor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California ("City"). <br />RECITALS <br />A. On October 7, 2019, the City issued a Request for Proposal ("RFP") for pest control and <br />weed abatement services for City Districts 1-4, the Santa Ana Zoo, and District A (Civic <br />Center). On October 25, 2019, City issued Addendum No. 1 regarding the RFP. (The RFP <br />and Addendum No. 1 are incorporated by reference as though completely set forth in its <br />entirety herein.) <br />B. Contractor submitted a proposal dated November 4, 2019. Contractor's proposal was <br />ultimately selected for the award of the contract. (Contractor's proposal is incorporated by <br />reference as though completely set forth in its entirety herein.) <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Contractor shall perform pest control services and weed abatement services for City <br />Districts 1-4, the Santa Ana Zoo, and District A (Civic Center) as set forth in the City's RFP and <br />Exhibit A attached hereto. Services are provided pursuant to the schedule attached hereto as <br />Exhibit B. Said schedule is subject to modification during the term of this Agreement as mutually <br />agreed upon in writing by the parties. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />the rates and charges identified in Exhibit C. The total sum to be expended under <br />this Agreement shall not exceed $787,593.66 annually during the term of this <br />Agreement. This annual amount is comprised of (1) the base agreement amount of <br />$715,994.24 and (2) a 10% contingency of up to $71,599.42 for services as may be <br />performed by Contractor at the sole discretion of City.
