written understanding the parties may have had prior to the execution of this
<br />Agreement.
<br />b. Modification. No modification or change to the terns of this Agreement
<br />will be binding on a party unless in writing and signed by authorized
<br />representatives of the parties.
<br />Compliance with Laws. Immigrant Defenders shall perform all services
<br />described herein in compliance with all applicable federal, state and local
<br />laws, rules, regulations, and ordinances, including but not limited to, (i) the
<br />Americans with Disabilities Act of 1990 (42 U.S.C. 12101, ct seq.)
<br />("ADA"), and ally regulations and guidelines issued pursuant to the ADA;
<br />and (ii) Labor Code sections 1720, et seq., which require prevailing wages
<br />(in accordance with DIR determinations at www.dir.ca.govl be paid to any
<br />employee performing work covered by Labor Code sections 1720 et seq.
<br />d. Non-discrimination, Immigrant Defenders shall not discriminate because of
<br />race, color, creed, religion, sex, marital status, sexual orientation, gender
<br />identity, gender expression, gender, medical conditions, genetic
<br />information, or military and veteran status, age, national origin, ancestry, or
<br />disability, as defined and prohibited by applicable law, in the recruitment,
<br />selection, teaching, training, utilization, promotion, termination or other
<br />employment related activities or any services provided under this
<br />Agreement. Immigrant Defenders affirms that it is an equal opportunity
<br />employer and shall comply with all applicable federal, state and local laws
<br />and regulations
<br />e. Governing Law: Venue. This Agreement shall be governed, construed, and
<br />enforced in accordance with the laws of the State of California. Venue of
<br />any litigation arising out of or connected with this Agreement shall lie
<br />exchrsively in the superior court in Orange County in the State ofCalifornia,
<br />and the parties consent to jurisdiction over their persons and over the subject
<br />matter of any such litigation in such court, and consent to service of process
<br />issued by such court.
<br />£ Waiver of Rights. Any grant award or acceptance by City of any service
<br />performed by Immigrant Defenders Linder this Agreement, any waiver by
<br />City of any default, Breach or condition precedent, shall not be construed as
<br />a waiver of any provision of this Agreement by City, nor as a waiver of any
<br />other default, breach or condition precedent or any other right hereunder.
<br />g. Successor and Assigns. Immigrant Defenders binds itself, its partners,
<br />successors, legal representatives and assigns to City with respect to all
<br />promises and agreements contained herein.
<br />h. Authority to Sign. The signers of this Agreement have the capacity and are
<br />authorized to execute this Agreement as the representatives of their
<br />respective parties, and to bind said parties to the terms hereof. This
