INSURAN"E.ONr <br />WORK KIAY <br />UNTIL INSURANCE EKPIP,- ' <br />p-,/II/to7o <br />CLERK OF COL1N ; !. <br />DATE <br />�•,�`\�rosiP �ro2 <br />a> <br />AGREEMENT FOR PROVISION OF <br />BOND CONTINUING DISCLOSURE SERVICES <br />THIS AGREEMENT is made and entered into on this 90 day of December, 2019 by and between <br />Urban Futures, Inc., a California corporation ("Consultant"), and the City of Santa Ana, a charter <br />-n city and municipal corporation organized and existing under the Constitution and laws of the State <br />�cc of California ("City"). <br />T RECITALS <br />C U. <br />>> A. The City desires to retain a consultant having special skill and knowledge in the field of <br />municipal financial services relating to bond continuing disclosure requirements. <br />J <br />B. Consultant represents that it is able and willing to provide such services to the City and has <br />provided said services with the City under Agreement #N-2017-206 which expired on <br />September 16, 2019, <br />C. The parties seek to continue services from Agreement #N-2017-206 to complete additional <br />services required under the prior Agreement and provide additional services. <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform municipal financial services relating to bond continuing <br />disclosure requirements as set forth in the Scope of Work, attached hereto as Exhibit A, and <br />incorporated by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit B. The annual sum to be expended under <br />this Agreement shall not exceed $4,375. <br />b. City agrees to pay Consultant for any services performed from September 16, 2019 to <br />the effective date of the Agreement as detailed in Section 3, below. <br />c. Payment by City shall be made within 45 days (forty-five) days following receipt of <br />proper invoice evidencing work performed, subject to City accounting procedures. <br />Payment need not be made for work which fails to meet the standards of performance <br />set forth in the Recitals which may reasonably be expected by City. <br />Page I of 8 <br />#20008v1 <br />N-2019-288 <br />
