The parties entered into an Agreement No. A-2017-077 dated February 1, 2017 ("Agreement"), <br />by which ARAMARK agreed to provide inmate commissary and food services at the Santa <br />Ana Detention Facility. The Agreement was approved by the City Council on April 18, 2017. <br />The term of the Agreement is in effect until January 31, 2020. <br />B. On November 21, 2017, the City and Aramark entered into a First Amendment to the <br />Agreement (A-2017-333) in which the parties amended the Agreement to include additional <br />funding regarding negotiated rates related to the transition of the Santa Ana City Jail ("Jail") <br />from a Type II Housing Facility to a Temporary Holding Facility as of January 1, 2018. <br />C. The parties now seek to further amend the Agreement to extend the term through the remainder <br />of the City's current fiscal year and to include additional funding to support the negotiated <br />rates and allow continuation of food services at the Santa Ana Detention Facility pursuant to <br />Consumer Price Index (CPI) increases allowed for under the Agreement. <br />The Parties therefore agree: <br />1. Section 2, Compensation — A. Food Service — subsection a., is amended to increase the <br />overall compensation by $500,000, which includes a contingency amount of $35,000 to pay <br />for additional services per the sole direction of the City. The total not to exceed amount of the <br />Agreement is $3,445,696. <br />2. Pursuant to Section 2, Compensation — A.
