DDA THRIVE Santa Ana, Inc. <br />March 3, 2020 <br />Page 2 <br />AGREEMENT <br />SUMMARY OF KEY TERMS <br />• 1-year term, with 1-year extension option <br />• THRIVE to accept the property as is, without liability to the City. <br />• THRIVE agrees that the City shall not provide any financial assistance to <br />the developer in connection with the project. THRIVE is solely responsible <br />for paying for all costs of the development. <br />• THRIVE must do the following prior to the Ground Lease execution: <br />DDA <br />o Obtain all entitlements and building permits <br />o Obtain construction and permanent financing <br />o Provide the City with sufficient evidence of equity <br />• After commencement of improvements, THRIVE shall not permit the work <br />of the improvements to cease or be suspended for more than 45 days <br />(consecutive or aggregate). <br />• Terminates upon issuance of Certificate of Occupancy <br />• 99-year lease to be executed and effective once certain DDA conditions <br />are met but prior to commencement of construction <br />• Lease rate of $1 per month <br />• THRIVE must maintain adequate standards of operation at THRIVE's sole <br />expense, such as: <br />Ground Lease <br />o Ensure adequate security measures to reasonably protect persons, <br />property, and premise <br />o Maintain the site operational as a microfarm, and not abandon or <br />vacate the premises at any time <br />o Insurance <br />Proposed Development <br />THRIVE proposes to develop a microfarm to grow and distribute fresh produce and ornamentals, <br />and host weekly open-air markets and community activities that promote health. The site would <br />include raised garden beds, a work area, produce pick-up table, and lunch tables. In partnership <br />with a local food cooperative, items would be sold through a community -supported production <br />model, wherein members pay a monthly subscription to receive a box of produce at their home, <br />or available for pickup. An on -site parking lot would host the open-air markets. <br />The site has been vacant for over 12 years. It was acquired by the City in 2007, and the former <br />Orange County Rescue Mission structure was demolished in 2011. The site was recently <br />rezoned as C2 (General Commercial) and the proposed microfarm is a permitted use within that <br />zone. The plans (Exhibit 2) for the microfarm are now in the second review phase with the City's <br />Planning and Building Agency. <br />Community Outreach and Benefits <br />THRIVE is a community land trust dedicated to the stewardship of land for the permanent benefit <br />of local residents.
