JURISDICTION —VENUE This Agreement has been executed and delivered in the State <br />of California and the validity, interpretation, performance, and enforcement of any of the clauses <br />of this Agreement shall be determined and governed by the laws of the State of California. Both <br />parties further agree that Orange County, California, shall be the venue for any action or <br />proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. <br />18. BINDING ARBITRATION By signing this agreement, the Parties agree that if any <br />dispute arises out of or relating to this Agreement, our relationship, or the services performed by <br />us (including but not limited to any disputes regarding fees and expenses and any failure by City <br />to pay such fees and expenses in accordance with this Agreement, claims of professional <br />negligence, breach of contract or fiduciary duty, fraud or any claim based upon a statute), such <br />dispute shall be resolved by submission to final and binding arbitration in Orange County, <br />California, before a retired judge or justice of the California Superior Court of a higher court. The <br />Parties agree that by agreeing to binding arbitration, they are waiving any right to a jury trial on <br />any such dispute. If the Parties are unable to agree upon a retired judge or justice, each party will <br />name one retired judge or justice and the two named persons will select a neutral judge or justice <br />who will act as the sole arbitrator. Should the City elect to have any fee dispute arbitrated pursuant <br />to non -binding arbitration under statutory or case law (including your rights to request mandatory <br />fee arbitration under the rules of the Orange County Bar Association), then such non -binding <br />arbitration shall determine only the issue of the amount of fees properly charged to the City. Any <br />other claims or disputes between the Parties, including claims for professional negligence, shall <br />remain subject to binding arbitration pursuant to this agreement. In the event of such an arbitration, <br />the Parties shall be entitled to take discovery in accordance with the provisions of the California <br />Code of Civil Procedure, but either party may request that the arbitrator limit the amount and scope <br />of such discovery, and in determining whether to do so, the arbitrator shall balance the need for <br />the discovery against the Parties' mutual desire to resolve disputes expeditiously and <br />inexpensively. <br />19. MISCELLANEOUS PROVISIONS Each undersigned represents and warrants that its <br />signature herein below has the power, authority and right to bind their respective parties to each of <br />the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's <br />fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held <br />by the signatory or is withdrawn. <br />20. COUNTERPARTS; SIGNATURES This Agreement may be executed in counterparts, <br />secured via facsimile transmission or otherwise, each of which shall be deemed to be an original. <br />Photocopies of any executed counterpart shall have the same force and effect as an original. City <br />further acknowledges that it has read and received a copy the full text Section 6148 of the <br />California Business and Professions Code prior to signing this Agreement. <br />21. NO GUARANTEES City understands and acknowledges that there are certain risks and <br />uncertainties in the pursuit of any matter for which Attorneys have been retained, that law is not <br />an exact science, that Attorneys have made no representations or guarantees of success regarding <br />the conclusion of any particular matter, and that all expressions relative thereto are matters of <br />#29212v4 2 5 G -9 <br />
